CHWO and CHWO-DR-2 - Acquisition of assets

  The Commission approves the application by Primetime Radio Inc. to acquire from 1210361 Ontario Inc. (the general partner), and Whiteoaks Communications Group Limited, Peter Gilgan, Ken Harrigan, Terri Patterson and George E. Patton (the limited partners) carrying on business as AM 740 Primetime Radio Limited Partnership (AM 740 LP) the assets of the English-language AM radio programming undertaking CHWO and of the transitional digital radio undertaking CHWO-DR-2, both serving Toronto, Ontario. Given that a new licence for CHWO expiring 31 August 2012 is being issued to Primetime Radio Inc., it is not necessary to consider the application by AM 740 LP to renew the broadcasting licence for CHWO issued to AM 740 LP.

The Commission received an application by 1210361 Ontario Inc. (the general partner), and Whiteoaks Communications Group Limited, Peter Gilgan, Ken Harrigan, Terri Patterson and George E. Patton (the limited partners) carrying on business as AM 740 Primetime Radio Limited Partnership (AM 740 LP) to renew the broadcasting licence for the English-language commercial AM radio programming undertaking CHWO, expiring 31 August 2006.

The Commission subsequently received an application by Primetime Radio Inc. to acquire from AM 740 LP the assets of CHWO and of the transitional digital radio undertaking CHWO-DR-2, both serving Toronto, Ontario.

Primetime Radio Inc. also requested broadcasting licences to operate the undertakings under the same terms and conditions as those specified in New "adult standards" AM radio station in Toronto, Decision CRTC 2000-205, 16 June 2000, and in Transitional digital radio undertaking in Toronto, Broadcasting Decision CRTC 2002-427 (Decision 2002-427), which set out the terms and conditions that apply to the current licences.

The Commission did not receive any interventions in connection with either application.

The Commission notes that the transaction proposed by Primetime Radio Inc. does not affect the control of the above-mentioned undertakings, which will continue to be exercised by Whiteoaks Communications Group Limited, a corporation ultimately controlled by Jean E. Caine.

Accordingly, the Commission approves the application by Primetime Radio Inc. to acquire from AM 740 LP the assets of the English-language AM radio programming undertaking CHWO and of the transitional digital radio undertaking CHWO-DR-2, both serving Toronto, Ontario.

The Commission will issue a broadcasting licence to Primetime Radio Inc. for CHWO that will expire 31 August 2012 and that will be subject to the same terms and conditions as those in effect under the current licence. Given that a new licence for CHWO is being issued to Primetime Radio Inc., it is not necessary to consider the application by AM 740 LP to renew the broadcasting licence for CHWO issued to AM 740 LP.

The Commission notes that CHWO-DR-2 has not yet been implemented. The Commission will issue a broadcasting licence to Primetime Radio Inc. for CHWO-DR-2 expiring 31 August 2007, the current expiry date specified in Administrative renewals, Broadcasting Decision CRTC 2006-262, 23 June 2006, once the requirements for the issuance of the licence set out in Decision 2002-427 have been met.

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with Human Resources Development Canada, its employment equity practices are not examined by the Commission.
