The Commission approves the application byFairchild Media Group Ltd., on behalf of Fairchild Television Ltd. (Fairchild TV) and LS Movie Channel Limited (LS Movie), partners in a general partnership known as FLS Movie Channel Partnership, for the authority to acquire the assets of the national English-language Category 2 specialty programming undertaking known as The Fairchild Movie Channel from Fairchild Media Group Ltd., on behalf of a corporation to be incorporated.1 The applicant also requested a broadcasting licence to operate the undertaking under the same terms and conditions as those specified in the original licensing decision. |

As a result of this transaction, Fairchild TV and LS Movie will each have a 50% partnership interest in The Fairchild Movie Channel. Mr. Thomas Fung holds 100% of the voting interests of Fairchild TV and Mr. Danny Lon Wei Wang holds 100% of the voting interests in LS Movie. |

The Commission did not receive any interventions in connection with this application. |

The licence will expire 31 August 2007, the same expiry date as that set out in the original licensing decision, and will be subject to the same terms and conditions as those specified in that decision. |

The licence will be issued once the applicant has satisfied the Commission, with supporting documentation, that the following requirements have been met: |

In Deadline to commence operation of Category 2 specialty and pay television services, Broadcasting Decision CRTC 2003-599, 16 December 2003 (Decision 2003-599), the Commission approved applications for extensions to the implementation deadline for numerous services, including The Fairchild Movie Channel. The Commission reminds the applicant that, as stated in Decision 2003-599, the extension to 24 November 2004 is the final extension deadline to commence operation of this service. The licence will not be issued unless the licensee has commenced operations by that date. |

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with theDepartment of Human Resources and Skills Development, its employment equity practices are not examined by the Commission. |
