NOTICE OF PUBLIC HEARING

ISSUE NO. 1

The Commission will hold a public hearing commencing on 15 July 1997, at the Conference Centre, Phase IV, 140 Promenade du Portage, Hull, Quebec, to consider the following:

ACROSS CANADA 

Item 1 (A, B, C, D and E)

PREAMBLE

The Commission has received a set of applications from BATON BROADCASTING INCORPORATED ("BBI") and ELECTROHOME LIMITED ("Electrohome") and certain of their subsidiaries (collectively "the parties") in which the parties are requesting authority to effect a Strategic Merger Agreement (the "SMA") involving a series of transactions which are meant to be implemented in two distinct transactional phases.

PHASE I

Under Phase I, BBI and Electrohome are requesting authority to effect changes in effective control of certain of their subsidiaries and BBI is requesting authority to acquire certain television assets, located in the Province of Alberta, from Electrohome.

The first transaction relates to the transfer of effective control of TV WEST INC. ("TV West"), a company that is owned 50% by BBI, indirectly through its wholly-owned subsidiary BBS SASKATCHEWAN INCORPORATED ("BBS Sask."), and 50% by Electrohome. Effective control of TV West will be transferred to BBI through the transfer of Electrohome's 50% interest in TV West to BBI.

The second transaction relates to the transfer of effective control of SOUTH WEST ONTARIO TELEVISION INC. ("SWOTI"), a company that is owned 50% by BBI, indirectly through its wholly-owned subsidiary BBS ONTARIO INCORPORATED ("BBS Ontario"), and 50% by Electrohome. Effective control of SWOTI will be transferred to BBI through the transfer of Electrohome's 50% interest in SWOTI to BBI.

The third transaction relates to a request by BBI for authority to acquire the assets and for broadcast licences to continue the operation of CFRN-TV Edmonton, CFRN-TV-4 Ashmont, CFRN-TV-6 Red Deer and CFRN-TV-3 Whitecourt, Alberta.

The fourth transaction relates to the transfer of effective control of Vancouver Television Inc. ("VTI") a new television undertaking, CIVT-TV, which was recently licensed by the Commission. VTI is a company equally owned by Electrohome and BBI. Effective control of VTI will be transferred to BBI through the transfer of Electrohome's 50% interest in VTI to BBI.

In addition to the previously mentioned applications, Electrohome would transfer its 14.28% interest in CTV Television Network Ltd. to BBI.

The Commission notes that upon approval of the Phase I transactions, Electrohome would receive, among other things, approximately 23% of BBI's outstanding common (voting) shares, as well as, the right to nominate two directors to BBI's Board.

PHASE II

Phase II relates to an inter-corporate reorganization involving asset transfers, which are fully outlined in the application descriptions presented in this document.

The Commission notes that Phase II is conditional upon the prior approval of the Phase I applications.

The Commission also notes that on approval of the Phase II applications, BBS Ontario, BBS Sask., TV West and SWOTI will be amalgamated to form one wholly-owned subsidiary of BBI ("Amalco") which will hold all of BBI's broadcast licences. As well, BBI has indicated that VTI would operate as a wholly-owned subsidiary of Amalco.

Intervenors who had already submitted interventions related to these applications further to Notice of Public Hearing CRTC 1997-2 may amend or withdraw them and advise the Commission and the applicant before the 19 June 1997 deadline for intervention for this hearing. Other interested parties may also submit new interventions concerning these applications on or before the deadline date of 19 June 1997.

ACROSS CANADA 

Item 2 (A, B, C, D and E)

PREAMBLE

The Commission has received a "non-severable" set of applications from BBS Ontario Incorporated ("BBS Ontario"), CHUM Limited ("CHUM") and CTV Television Network Ltd. ("CTV") in which the applicants are requesting authority to complete an "assets swap" and to transfer the effective control of CTV. BBS Ontario and Baton Broadcasting Incorporated ("BBI") have stated that this set of applications is not dependent on Commission approval of the applications described on page 1 of this Notice to effect a Strategic Merger Agreement.

The overall transaction has been separated into three distinct parts:

The first part involves BBS Ontario's acquisition of the Atlantic Satellite Network ("ASN"), and various television undertakings, located in the Provinces of New Brunswick and Nova Scotia, from CHUM (the "BBS Ontario Transactions").

The second part relates to CHUM's acquisition of various television undertakings, located in the Province of Ontario, from BBS Ontario and South West Ontario Television Inc., a corporation owned 50% by BBS Ontario and 50% by Electrohome Limited (the "CHUM Transactions").

The third part deals with the acquisition of effective control of CTV by BBI through the transfer of CHUM's 14.28% interest in CTV, a transaction that will give BBI, directly and indirectly, control over 57.1% of CTV's voting securities (the "CTV Transaction").

PROPOSED FEE

The applicant proposes to charge a basic monthly fee of $26.17 for the distribution of the basic service. For Part III licensees, the basic monthly fee is not regulated pursuant to the Cable Television Regulations, 1986.

It must also include clear indication of whether you support or oppose the application, or, if you propose changes to it, include the facts and grounds therefor. In the event that the subject application is brought to the oral phase of the hearing, and should you wish to appear, your intervention must include a request to do so, preferably in the first paragraph of your letter, together with reasons as to why your written submission is not sufficient and why your appearance is necessary. The Commission will inform interveners whether their requests to appear are granted. All written interventions are considered by the Commission when it makes its decisions.

To ensure the effective use of public hearing time, and consistent with the Commission's practice in similar proceedings, it may group the appearance of various interveners to particular applications at the same time.
