The Commission will hold a public hearing commencing on 14 April 1997, at the Holiday Inn on King, 370 King Street West, Toronto, Ontario, to consider the following:
ONTARIO REGION
The CRTC radio market report for the Toronto market for the years 1992-1996 is now available and is attached to this Notice of Public Hearing.
In addition, Industry Canada will conduct technical surveys and field tests respecting the signal of the Canadian Broadcasting Corporation's AM (radio) programming undertaking, CBL Toronto. The test report will be placed on the public file no later than 21 February 1997. Interested parties may file their comments within the intervention deadline.
1.  AJAX, Ontario
Application (199613584) by DURHAM RADIO INC., licensee of CJKX-FM Ajax;
a) for authority to transfer 42.50% of Durham Radio Inc. to BMO Nesbitt Burns Equity Partners, Inc. through the issuance of an additional 1,174,478 common voting shares from treasury, to the latter company; and
b) to amend the licence of its (radio) programming undertaking CJKX-FM Ajax as follows:
- by changing the frequency from 95.9 MHz (channel 240B) to 99.1 MHz (channel 256C1);
- by increasing the effective radiated power from 5,110 to 47,600 watts; and
- by relocating the transmitter site from the current site in Whitby to Toronto.
The applicant is proposing to continue with its country music service.

Application (199613790) by CKMW RADIO LTD. for a broadcasting licence to carry on a (specialty) FM (ethnic radio) programming undertaking at Brampton, operating on frequency 103.5 MHz (channel 278B) with an effective radiated power of 50,000 watts, upon surrender of the current licence issued for CIAO Brampton.
Regarding ethnic programming the following conditions of licence have been proposed:
- programming will be directed to a minimum of 12 cultural groups in a minimum of 13 different languages each week; and
- a minimum of 106 hours of Types A and B ethnic programming will be broadcast each week.
The applicant is proposing to simulcast on its 530 KHz Frequency (CIAO) for a period up to six months following the implementation of the FM station.
The applicant states that the application is contingent upon the approval of the application to amend the FM licence for CIDC-FM, Dufferin Communications Inc., to serve Toronto on frequency 99.1 MHz.

The Commission notes the apparent failure of the licensee to comply with section 8 of the Radio Regulations, 1986 concerning the provision of logger tapes.
The Commission expects the licensee to show cause at this hearing why a mandatory order should not be issued requiring the licensee to comply with section 8 of the Radio Regulations, 1986.

PREAMBLE
The Commission has received a set of applications from BATON BROADCASTING INCORPORATED ("BBI") and ELECTROHOME LIMITED ("Electrohome") and certain of their subsidiaries (collectively "the parties") in which the parties are requesting authority to effect a Strategic Merger Agreement (the "SMA") involving a series of transactions which are meant to be implemented in two distinct transactional phases.
PHASE I
Under Phase I, BBI and Electrohome are requesting authority to effect changes in effective control of certain of their subsidiaries and BBI is requesting authority to acquire certain television assets, located in the Province of Alberta, from Electrohome.
The first transaction relates to the transfer of effective control of TV WEST INC. ("TV West"), a company that is owned 50% by BBI, indirectly through its wholly-owned subsidiary BBS SASKATCHEWAN INCORPORATED ("BBS Sask."), and 50% by Electrohome. Effective control of TV West will be transferred to BBI through the transfer of Electrohome's 50% interest in TV West to BBI.
The second transaction relates to the transfer of effective control of SOUTH WEST ONTARIO TELEVISION INC. ("SWOTI"), a company that is owned 50% by BBI, indirectly through its wholly-owned subsidiary BBS ONTARIO INCORPORATED ("BBS Ontario"), and 50% by Electrohome. Effective control of SWOTI will be transferred to BBI through the transfer of Electrohome's 50% interest in SWOTI to BBI.
The third transaction relates to a request by BBI for authority to acquire the assets and for broadcast licences to continue the operation of CFRN-TV Edmonton, CFRN-TV-4 Ashmont, CFRN-TV-6 Red Deer and CFRN-TV-3 Whitecourt, Alberta.
The fourth transaction relates to the transfer of effective control of Vancouver Television Inc. ("VTI") a new television undertaking which was recently licensed by the Commission. VTI is a company equally owned by Electrohome and BBI. Effective control of VTI will be transferred to BBI through the transfer of Electrohome's 50% interest in VTI to BBI.
In addition to the previously mentioned applications, Electrohome would transfer its 14.28% interest in CTV Television Network Ltd. to BBI.
The Commission notes that upon approval of the Phase I transactions, Electrohome would receive, among other things, approximately 23% of BBI's outstanding common (voting) shares, as well as, the right to nominate two directors to BBI's Board.
$TEXTENG>PHASE II
Phase II relates to an inter-corporate reorganization involving various asset transfers, transmitter additions and deletions and changes in programming sources, all of which are fully outlined in the application descriptions presented in this document.
The Commission notes that Phase II is conditional upon the prior approval of the Phase I applications.
The Commission also notes that on approval of the Phase II applications, BBS Ontario, BBS Sask., TV West and SWOTI will be amalgamated to form one wholly-owned subsidiary of BBI ("Amalco") which will hold all of BBI's broadcast licences. As well, BBI has indicated that VTI would operate as a wholly-owned subsidiary of Amalco.
