Documentary – Acquisition of assets
1. The Commission approves the application by the Canadian Broadcasting Corporation (CBC) (the general partner) and CineNova Productions Inc., Galafilm Inc., National Film Board of Canada, OmniFilm Entertainment Ltd. and Neil Tabatznik (the limited partners), carrying on business as The Canadian Documentary Channel Limited Partnership (collectively, the applicant) for authority to acquire the assets of the national, English-language specialty Category A service known as Documentary, as a result of the acquisition by Neil Tabatznik of the partnership unit currently held by Entertainment One Television BAP Ltd. (Entertainment One). The Commission did not receive any interventions in connection with this application.
2. The applicant is owned by the CBC (82% voting interest), National Film Board of Canada (14% voting interest), Galafilm Inc., OmniFilm Entertainment Ltd., CineNova Productions Inc. and Entertainment One (each holding 1% voting interest) and controlled by the CBC.
3. On 5 September 2012, the Commission approved a Temporary Voting Trust Agreement and the nomination of a trustee, Mr. Ronald G. Atkey, as the temporary voting representative of Entertainment One’s partnership unit, pending the sale of the unit to a third party.[1] The Commission first granted its authorization for the Agreement until 3 March 2013 and, at the applicant’s request, has since extended its authorization twice. It currently expires on 31 October 2013.
4. This transaction does not affect the effective control of Documentary, which will continue to be exercised by the CBC.
5. Upon surrender of the current licence, the Commission will issue a new broadcasting licence to the Canadian Broadcasting Corporation (the general partner) and CineNova Productions Inc., Galafilm Inc., National Film Board of Canada, OmniFilm Entertainment Ltd. and Neil Tabatznik (the limited partners), carrying on business as The Canadian Documentary Channel Limited Partnership to operate the national, English-language specialty Category A service Documentary under the same terms and conditions as those in effect under the current licence.
Employment equity
6. Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with the Department of Human Resources and Skills Development, its employment equity practices are not examined by the Commission.
