Application by Pritchard Broadcasting Inc. (Pritchard Broadcasting) for authorization to acquire, as part of a corporate reorganization, the assets of the English-language commercial radio programming undertaking CJRP-FM Saint John and its transmitter CJRP-FM-1 Rothesay, New Brunswick from TFG Communications Inc. (TFG Communications).

The applicant is also requesting a new broadcasting licence to continue the operation of this undertaking under the same terms and conditions as those in effect under the current licence.

TFG Communications is a wholly owned subsidiary of Byanne Holdings Inc., which in turn  is owned by Robert Pritchard.

Pritchard Broadcasting is wholly owned by Robert Pritchard.

As a result of the transaction, Pritchard Broadcasting will become the licensee of the undertaking CJRP-FM and its transmitter CJRP-FM-1.

This transaction will not affect the control of this undertaking, which will continue to be exercised by Robert Pritchard.

The applicant requests the following condition of licence:

The licensee is authorized to distribute the following signals on a digital discretionary basis:

The distribution on a discretionary basis on the licensee's digital service of a second set of U.S. 4+1 signals and distant Canadian signals is subject to the provision that the licensee adhere to the requirements regarding non-simultaneous program deletion set out in section 43 of the Broadcasting Distribution Regulations. The Commission may suspend the application of this provision, with respect to the signals to be distributed, upon its approval of an executed agreement between the licensee and broadcasters. Such an agreement must deal with issues related to the protection of program rights arising in connection with the discretionary carriage of a second set of U.S. 4+1 signals and distant Canadian signals solely on the licensee's digital service.

The Commission notes its intention to impose any necessary conditions of licence pursuant to Accessibility of telecommunications and Broadcasting services, Broadcasting and Telecom Regulatory Policy CRTC 2009-430, 21 July 2009.

The applicant is also requesting, pursuant to sections 9(1)(e) and 24(1) of the Broadcasting Act, the revocation of the licence of CKGR effective at the end of the simulcast period.

The Commission notes a situation of apparent non-compliance relating to CKGR's transitional Canadian content development contributions in 2008. In Canadian content development commitments, Broadcasting Decision CRTC 2009-794, 22 December 2009, the Commission approved in part a payment plan proposed by Astral to remedy this issue and indicated that it would deal with the apparent non-compliance at the time of renewal of the licences for the stations involved. Since Astral's application to convert CKGR to the FM band requires the issuance of a new licence, the circumstances of the station's apparent non-compliance will also be examined in the context of the present application.
