Acquisition of assets - Corporate reorganization

  The Commission approves an application by Look Communications Inc., (Look) on behalf of itself (the limited partner) and Look Mobile Corporation (the general partner), carrying on business as Look Communications L.P. (Look LP), for authority to effect a corporate reorganization resulting in the transfer from Look to Look LP of the assets of the multipoint distribution system radiocommunication distribution undertaking serving various locations in Ontario and Quebec.
 

The application

1.

The Commission received an application by Look Communications Inc. (Look), on behalf of itself (the limited partner) and Look Mobile Corporation (Look Mobile) (the general partner), carrying on business as Look Communications L.P. (Look LP) (collectively, the applicant), for authority to effect a corporate reorganization resulting in the transfer from Look to Look LP of the assets of the multipoint distribution system (MDS) radiocommunication distribution undertaking serving various locations in Ontario and Quebec. The applicant also requested a new licence to be issued to Look LP to continue the operation of the undertaking under the same terms and conditions as those in effect under the current licence.

Look Mobile is a wholly owned subsidiary of Look. The Commission notes that the proposed transaction will not affect the ultimate control of the undertaking, which will continue to be exercised by Unique Broadband Systems Inc. (UBSI) through its wholly owned subsidiary, UBS Wireless Services Inc. UBSI is a Canadian public corporation controlled by its board of directors.

The Commission did not receive any interventions in connection with this application.
 

Commission's analysis and determinations

 

Transmitter locations and programming services listed in Schedules 1 and 2

Although the applicant requested a new licence under the same terms and conditions as those in effect under the current licence, the Commission stated in Notice of Public Hearing 2008-10 that it intended to modify, as appropriate, Schedule 1 for the purposes of condition of licence 4 to reflect the actual transmitter locations in a given market, together with the programming services required to be distributed.

In the above notice, the Commission also stated that it may also modify Schedule 2, for the purposes of condition of licence 5 c), as appropriate, to reflect the distant Canadian stations that may be distributed in the actual specific markets in Ontario and Quebec.

The Commission deems these measures appropriate considering that, when Look's licence was last renewed in Broadcasting Decision 2004-347, the decision did not contain the actual transmitter locations submitted by Look in its licence renewal application. Instead, Schedule 1 to the appendix of the above decision inadvertently included the proposed transmitter locations initially approved in Decisions 97-370 and 98-55 together with the programming services for mandatory distribution, for the purposes of condition of licence 4, at those proposed transmitter locations.

The Commission further notes that Schedule 2 to the Appendix to Broadcasting Decision 2004-347, for the purposes of condition of licence 5 c), does not accurately reflect the distant Canadian stations whose signals may be distributed in specific markets.
 

"Must carry" distribution requirements and distant Canadian stations

The Commission notes that Look LP is not subject to the "must carry" distribution requirements set out in section 17 of the Broadcasting Distribution Regulations. Instead, its distribution obligations are established by condition of licence.

Accordingly, the Commission reviewed the applicant's list of programming services for mandatory distribution in view of applying similar requirements as those set out in section 17. The applicant argued that any significant changes in the programming services it distributes would have an adverse impact on its business and subscribers. The applicant also expressed concern that, due to the specific configuration of its network and its limited channel capacity, it would be required to remove services that it currently carries to make room for new services the Commission had identified as being appropriate.

The Commission has taken these arguments into consideration as well as the fact that no interventions were received in this process. Accordingly, taking into account the special circumstances of this matter, the Commission is of the view that it is appropriate at this time to modify Schedule 1 to include only those services that are on both the applicant's proposed list of services and the Commission's list of programming services for mandatory distribution as proposed in correspondence with the applicant.

Accordingly, the Commission modifies Schedule 1, for the purposes of condition of licence 4, to reflect the appropriate transmitter locale and corresponding programming services that must be distributed. The Commission also modifies Schedule 2, for the purposes of condition of licence 5 c), to reflect the distant Canadian stations that may be distributed in specific markets or sub-markets.

The Commission notes that the programming services listed in Schedule 1 are mainly originating stations. Look LP may offer the signal of either the originating station or its rebroadcasting transmitters without obtaining further Commission approval.

The Commission further notes that it will have an opportunity to revisit this matter and other determinations in 2011 at the time of the licence renewal.

Furthermore, the applicant requested that the list of mandatory programming services for the purposes of condition of licence 4, found in Schedule 1, be amended to include other services currently offered. The Commission notes that some of the proposed services are already authorized for distribution under condition of licence 5 a), while others are distant Canadian stations that are not mandatory programming services suitable for inclusion under condition of licence 4. As such, the distant Canadian stations are reflected in Schedule 2 for the purposes of condition of licence 5 c).

The Commission also reminds the applicant that it must distribute, to all of its subscribers, the currently applicable services whose distribution is required pursuant to section 9(1)(h) of the Broadcasting Act (the Act). These include TVA, Aboriginal Peoples Television Network, VoicePrint in Ontario markets only, Cable Public Affairs Channel, CBC Newsworld and Réseau de l'information, as well as any future 9(1)(h) services designated by the Commission.
 

Conclusion

16.

In light of the above, the Commission approves the application by Look Communications Inc., on behalf of itself (the limited partner) and Look Mobile Corporation (the general partner), carrying on business as Look Communications L.P., for authority to effect a corporate reorganization resulting in the transfer from Look to Look LP of the assets of the MDS radiocommunication distribution undertaking serving various locations in Ontario and Quebec.

Upon surrender of the current licence issued to Look, the Commission will issue a new licence to Look Mobile Corporation (the general partner) and Look Communications Inc. (the limited partner), carrying on business as Look Communications L.P. The licence will expire 31 August 2011, the current licence expiry date, and will be subject to the terms and conditions as set out in the appendix and schedules to this decision.

The Commission reminds the licensee that, pursuant to section 22(1) of the Act, the licence issued will be in force and in effect for only those transmitter locations for which the Department of Industry (the Department) notifies the Commission that its technical requirements have been met, and that a broadcasting certificate has been issued.

19.

The Commission notes that all transmitters currently in operation are listed in Schedule 1 to the appendix to this decision. However, certain transmitters authorized by the Commission have not yet been implemented, namely Belleville, Brockville, Chatham, Cobourg, Collingwood, Cornwall, Kingston, Leamington, Lindsay, Midland, Orillia, Owen Sound, Peterborough, Port Hope, Sarnia/Clearwater, Simcoe, Stratford, and Tillsonburg, Ontario. The Commission therefore reminds the licensee that, once it is prepared to implement these transmitters, it is required to inform the Commission of its intention and to file an application to amend Schedule 1, for the purposes of condition of licence 4 and Schedule 2, if necessary, for the purposes of condition of licence 5 c). The Commission will then establish the mandatory programming services for those transmitters. The Department must also notify the Commission that its technical requirements have been met, and that a broadcasting certificate has been issued in order for these transmitters to be added to the licence.
 

Employment equity

20.

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with the Department of Human Resources and Social Development Canada, its employment equity practices are not examined by the Commission.

Appendix to Broadcasting Decision CRTC 2008-325

 

Conditions of licence

 

1. a) For the purposes of the Broadcasting Distribution Regulations, as amended from time to time, the licensee is a Class 1 licensee;

b) The licensee shall adhere to the Broadcasting Distribution Regulations with the exceptions of sections 16.1, 17, 18, 19, 20, 22, 24, 29, 30 and Part V.

 

2. The licensee shall devote at least 50% of its allotted frequency spectrum to the distribution of programming services, other than pay-per-view programming services.

 

3. The licensee shall distribute at least one licensed pay television service, specialty service or Category 1 service, as defined by the Broadcasting Distribution Regulations, for every two programming services of any other type that it may distribute, including those of licensed television stations, Category 2 services, pay-per-view services, non-Canadian television stations, or Part 2 eligible satellite services, but excluding the services of radio stations and other audio programming services. For the purposes of this condition, each pay-per-view service shall be counted as one television programming service, regardless of the number of channels used to distribute that service.

 

4. Unless otherwise authorized by the Commission, the licensee is required to distribute the programming services from each transmitter site, as listed in Schedule 1 to this appendix.

 

5. The licensee is authorized to distribute:

a) any television stations that it might otherwise be required to distribute under section 17 of the Broadcasting Distribution Regulations;

b) any licensed Canadian pay television service, specialty service, Category 1 service or Category 2 service;

c) the distant Canadian television signals specified for each market in Schedule 2 to this appendix;

d) no more than one set of U.S. 4+1 services; and

e) any of the authorized Canadian or non-Canadian services set out in the List of Part 2 Eligible Satellite Services contained in Appendix A of the Revised lists of eligible satellite services, as amended from time to time.

 

6. The non-Canadian programming services authorized for distribution under 5 e) above may only be offered in a package with Canadian pay television and/or Canadian specialty services, and are subject to the following linkage requirements:

a) each Canadian pay television service (excluding a pay-per-view service) may be linked in a single package with no more than five non-Canadian programming services from Section A or Section B of the List of Part 2 Eligible Satellite Services, but in no case can the licensee distribute more than five channels of non-Canadian-originated services linked with Canadian pay television services, regardless of the number of Canadian pay television services distributed by the licensee;

b) each Canadian specialty service, distributed within a package that may include one or more Canadian specialty and/or pay television services, may be linked with no more than one of the non-Canadian-originated services specified in Section A of the List of Part 2 Eligible Satellite Services;

c) the licensee may designate one of the U.S. superstations specified in Section B of the List of Part 2 Eligible Satellite Services and distribute the signal of that superstation within a discretionary package that may include one or more Canadian specialty and/or pay television service; and

d) the licensee is not permitted to offer a package of services containing only non-Canadian programming services.

 

7. In Anglophone markets, the licensee shall distribute at least one licensed French-language programming service, whether that of a licensed television station, a specialty service, Category 1 or Category 2 service, or pay television service, as defined in the Broadcasting Distribution Regulations, for every ten English-language programming services it distributes, including those of licensed television stations, specialty services, Category 1 or Category 2 services, pay television services, pay-per-view services and non-Canadian-originated programming services, or any combination thereof, but excluding the services of radio stations and other audio programming services. For the purposes of this condition, each pay-per-view service shall be counted as one television programming service, regardless of the number of channels used to distribute that service.

 

8. The licensee is required to distribute the specialty service known as ARTV, as part of the basic service, to all of its subscribers in Quebec as well as to subscribers residing in the Ontario portion of the National Capital Region.

 

9. The licensee is authorized to insert, at its option, certain promotional material as a substitute for the "local availabilities" (i.e. non-Canadian advertising material) of non-Canadian satellite services. At least 75% of these local availabilities must be made available for use by licensed Canadian programming services for the promotion of their respective services, for the promotion of the community channel and for unpaid Canadian public service announcements. A maximum of 25% of the local availabilities may be made available for the promotion of discretionary programming services and packages, customer service information, channel realignments, cable FM service and additional cable outlets.

 

10. The licensee shall contribute 5% of its total subscriber revenues for basic, discretionary, pay television and pay-per-view services to support the development of Canadian programming in accordance with the following provisions:

a) The licensee must contribute a minimum of 3% of its gross annual revenues derived from broadcasting activities to independently-administered Canadian production funds. Of this amount, 80% must be directed to the Canadian Television Fund (CTF), while up to 20% may be directed to one or more independently-administered production funds other than the CTF, provided that these other funds meet the criteria set out in Contributions to Canadian programming by broadcasting distribution undertakings, Public Notice CRTC 1997-98, as may be amended from time to time.

b) The licensee may contribute up to a maximum of 2% of its gross annual revenues derived from broadcasting activities to local programming initiatives. Should the licensee choose to contribute less than 2% of its gross annual revenues to local programming initiatives, the balance shall be directed to independently-administered production funds in accordance with the provisions set out in paragraph a).

c) The licensee is required to remit its contributions to the CTF, and to such other independently-administered production fund(s) as it may elect to support in accordance with paragraph a) above, in the form of monthly instalments to be remitted within 45 days of month's end, and representing a minimum of 3% of that month's gross revenues.

 

11. The licensee is authorized to distribute, as a special programming service, without advertising material, as defined in the Television Broadcasting Regulations, 1987 (the television regulations), as amended:

a) programming provided by an educational institution, where the programming falls within paragraph 6(5)(a) or 6(5)(b) of Schedule I to the television regulations; and

b) interactive services of an educational or informative nature that consist of images and sounds accompanied by alphanumeric material, or predominantly alphanumeric material that is available in conjunction with a program distributed by the licensee.

 

12. For community programming and any other programming of a service that it originates, the licensee shall adhere to the Cable Community Channel Standards, and the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary Code Regarding Violence in Television Programming, as amended from time to time and approved by the Commission.

 

13. The licensee is authorized to distribute an electronic programming guide and a pay-per-view preview channel.

 

14. Unless otherwise authorized by the Commission:

a) the licensee shall delete the distribution of the programming of a non-Canadian television programming service and substitute the comparable programming of a Canadian television programming undertaking, licensed to serve the provinces of Ontario or Quebec or a part thereof, where the signal of that Canadian television programming undertaking is distributed by the licensee;

b) the licensee shall delete and substitute the programming of television programming services, in the manner contemplated in paragraph a) above, where the licensee has received, at least four days prior to the date on which the programming is broadcast, a written request for the deletion and substitution of the programming of the television programming service; and

c) the licensee may discontinue the deletion and substitution of programming of a television programming service where the licensee verifies that the programming of the television programming services in respect of which the deletion is made, is not comparable, or is no longer scheduled for distribution in identical periods.

  For the purpose of this condition, "comparable" shall have the same meaning as defined in the Broadcasting Distribution Regulations.

  The mandatory programming services for the above transmitters not yet in operation will be established when Look Communications L.P. informs the Commission that it is prepared to implement these transmitters. The licensee will be required to file an application to amend Schedule 1. The Department of Industry must also notify the Commission that its technical requirements have been met, and that a broadcasting certificate has been issued in order for these transmitters to be added to the licence.
