LOOK - MDS licence renewal |

The Commission approves the licence renewal applications by LOOK Communications Inc. (LOOK). As requested by the licensee in the interests of administrative economy, the Commission will issue one broadcasting licence to LOOK to carry on a Class 1 multipoint distribution system broadcasting distribution undertaking combining the two undertakings that the licensee has carried on to this point, one serving communities in Southern Ontario and the other serving communities in Quebec and Eastern Ontario. The licence term will be seven years, from 1 September 2004 to 31 August 2011. | |
The applications |

At the 20 October 2003 hearing in the National Capital Region, the Commission considered applications by LOOK Communications Inc. (LOOK) for renewal of the Class 1 broadcasting distribution undertaking (BDU) licences it holds for the operation of two multipoint distribution system (MDS) undertakings, one serving Toronto and 26 other communities in Southern Ontario, and the other serving the communities of Montréal and Québec and surrounding areas, the Saguenay/Lac St-Jean region, and Eastern Ontario and Western Quebec (including the National Capital Region). |

Also considered at the 20 October 2003 hearing were renewal applications by two other MDS licensees, namely Craig Wireless International Inc. (Craig) and Image Wireless Communications Inc. (Image). Craig holds a Class 1 BDU licence for the operation of an MDS undertaking serving Winnipeg and eight other Manitoba communities. Image holds thirteen Class 3 BDU licences, one to serve Lloydminster, Alberta, and the remainder for separate MDS undertakings serving Regina, Saskatoon and ten other communities in Saskatchewan. The licences held by Craig and Image, respectively, are renewed in Craig - MDS licence renewal, Broadcasting Decision CRTC 2004-349 and Image - MDS licence renewal, Broadcasting Decision CRTC 2004-348, both of today's date. |

The Commission's general analysis and findings with respect to various matters affecting LOOK and the other two MDS licensees in common, including the role that MDS undertakings play within the Canadian broadcasting system and the services they are permitted or required to distribute, are set out in Licence renewal for various multipoint distribution system undertakings, Broadcasting Public Notice CRTC 2004-63 (Public Notice 2004-63), also of today's date. In this decision, the Commission examines matters that are specific to LOOK and its licence renewal applications, such as the licensee's request for a reduction in its required contributions to local expression, Canadian programming and community television, its proposals for amendments to various other conditions of licence and for the combining of its two MDS BDU licences into one licence. |
Contributions to the production of Canadian programming |

Under the current conditions of licence for LOOK's MDS BDU serving communities in Quebec and Eastern Ontario, the licensee is required to "contribute at least 7% of its gross revenues derived from broadcasting activities" to support the development of Canadian programming. Although this requirement reflects a commitment offered by the licensee in the context of its original licence application, it differs from the requirement set out in the conditions of licence for LOOK's MDS undertaking serving Southern Ontario, which state that the licensee "shall contribute 5% of its gross annual revenues to support the development of Canadian programming". Most other licensed Class 1 and Class 2 BDUs, including most MDS undertakings, are required to adhere to a minimum contribution level of 5% in respect of local expression, Canadian programming and community programming. |

In the renewal application for LOOK's MDS BDU serving communities in Quebec and Eastern Ontario, the licensee requested that its required contribution to Canadian programming be reduced from 7% to 5%. Each of the renewal applications contained an additional request that the licensee be relieved of its requirements to provide financial support to the development of Canadian programming, at least until such time as the annual revenues generated by that undertaking's broadcasting activities reach a level of $25 million. |

In the case of LOOK's two MDS BDUs, the current requirements for contributions to Canadian programming specify a calculation that is based on the gross annual revenues earned by each one. The requirements imposed on Craig and Image, however, are calculated on the basis of their annual subscriber revenues for basic, discretionary, pay television and pay-per-view services, to the exclusion of revenues derived from such other broadcasting activities as the sale or rental of set-top boxes and other customer premises equipment. Accordingly, in its two renewal applications, LOOK further requested that the basis used to calculate its required contributions to Canadian programming be made consistent with the basis used to calculate the required contributions of the other MDS licensees. |

The Commission has examined, and considers reasonable, LOOK's request that its required contribution to local expression, Canadian programming and community television be reduced from 7% to 5% in the case of its MDS BDU serving communities in Quebec and Eastern Ontario. Further, the Commission finds it appropriate to base the 5% calculation on the undertaking's total annual subscriber revenues for basic, discretionary, pay television and pay-per-view services. The Commission therefore approves these changes, which are incorporated in a condition of licence set out in the appendix to this decision. |

The Commission has also analysed LOOK's request that it be relieved of the requirements for contributions to local expression, Canadian programming and community television, in the case of each undertaking, until such time as the annual revenues generated by the undertaking's broadcasting activities reach a level of $25 million. The Commission notes the licensee's projections, which suggest that annual revenues might not reach the $25 million level until well into the new licence term in the case of the MDS BDU serving Southern Ontario and, in the case of the other undertaking, not within the next seven years. The Commission is concerned that the licensee's proposal would be inconsistent with the contribution levels required of other BDUs, which help to maintain stability of funding for the production of Canadian television programming. Accordingly, the Commission denies LOOK's request. |

LOOK is a Class 1 BDU licensee whose undertakings have a capacity of less than 750 MHz. In Licence renewal for CPAC; and issuance of a distribution order, Broadcasting Decision CRTC 2002-377, 19 November 2002 (Decision 2002-377), the Commission directed all Class 1 and Class 2 BDUs with less than 750 MHz of capacity to distribute the service of Cable Public Affairs Channel Inc. (CPAC) in the official language of the market, accompanied by a secondary audio programming (SAP) feed in the official language of the minority. At the time of the hearing, LOOK was not distributing the CPAC service on its MDS BDU serving communities in Quebec and Eastern Ontario. At the hearing, LOOK stated its willingness to comply with the Commission's order and its intention to begin distributing the CPAC service to its subscribers in the first quarter of 2004. The Commission reminds the licensee that it must distribute the CPAC service to all of its subscribers in compliance with the requirements of Decision 2002-377. |
Distribution of ARTV |

In Decision CRTC 2000-386, 14 September 2000 (Decision 2000-386), the Commission licensed a new French-language specialty television service that was to be devoted to the arts and culture, and known as La Télé des Arts or ARTV. Given the importance that it placed on the role of a French-language arts service in the broadcasting system, the Commission emphasized that it was its intention to ensure that ARTV was "made available to the greatest possible number of Canadians at the most affordable cost, while not losing sight of the fact that to offer quality programming and contribute to the broadcasting system, the service must be able to generate sufficient revenues". Accordingly, the Commission set out rules for the carriage of the service by distributors in Francophone markets, and stated, among other things, that "subscribers to a multi-point distribution system (MDS) in a Francophone market who choose to subscribe, in addition to the basic service, to three or more French-language specialty services, must also receive Télé des Arts on a mandatory basis". |

In Distribution and linkage requirements for Class 1 and Class 2 licensees, Public Notice CRTC 2000-129, issued on the same date as the ARTV decision, the Commission amended the distribution and linkage rules to include this requirement, stipulated as follows in section 5 (d): |
. except as otherwise provided under a condition of its licence, where a licensee operates an MDS distribution undertaking in a Francophone market, the licensee must provide the service of La Télé des Arts to any subscriber that receives, on a discretionary basis, three or more French-language specialty services. |

The Commission's distribution and linkage requirements, as amended from time to time, had been incorporated, by reference, into the Cable Television Regulations, 1986 (the 1986 regulations) that have now been repealed. They are similarly incorporated, by reference, into their replacement, the Broadcasting Distribution Regulations (the Regulations). When LOOK's Southern Ontario MDS BDU was first licensed, the Commission had exempted the service, by condition of licence, from the distribution and linkage requirements. However, no similar exemption was included in the decision approving LOOK's application for its undertaking serving communities in Quebec and Eastern Ontario. |

In an intervention to LOOK's renewal applications, ARTV inc., the licensee of ARTV, requested that the Commission ensure that LOOK's conditions of licence provide for the broad distribution of ARTV, in keeping with the Commission's intentions expressed in Decision 2000-386. |

In replying to this intervention at the hearing, LOOK noted that customers that were not then receiving ARTV were those who had not chosen to subscribe on a discretionary basis to three or more French-language specialty services. LOOK stated that it did not intend to distribute ARTV in Anglophone markets. It made a commitment, however, to distribute ARTV, as part of the basic service to all of its subscribers in Quebec as well as to subscribers residing in the Ontario portion of the National Capital Region. The intervener indicated that it considered this to be an acceptable arrangement. |

Accordingly, in place of the requirements of section 20 of the Regulations, and consistent with the licensee's commitment, the Commission has imposed a condition of licence requiring LOOK to distribute ARTV, as part of the basic service, to all of its subscribers in Quebec as well as to subscribers residing in that part of the National Capital Region that lies within Ontario. |

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with the Department of Human Resources and Skills Development, its employment equity practices are not examined by the Commission. |
Issuance of a single broadcasting licence for a full licence term |

17. |
In its applications, the licensee requested, in the interests of administrative economy, that there be a harmonization of the terms and conditions under which its two undertakings operate. In response to questioning at the hearing, the applicant confirmed that its preference would be to have its two MDS undertakings combined under a single broadcasting licence, and governed by a single set of terms and conditions, with the exception of such distinctions as now exist, and that would be retained under the new conditions of licence, between the specific services that must be distributed in the communities served by LOOK's various transmitters. The Commission is satisfied that the issuance of a single licence is reasonable. |

Accordingly, the Commission approves LOOK's renewal applications, and will issue a licence to LOOK to carry on a single MDS BDU to serve the various communities in Southern Ontario, Eastern Ontario and Quebec now served under two separate licences. The Commission considers that a full licence term is warranted. The licence term will therefore be for seven years, from 1 September 2004 to 31 August 2011. The licence will be subject to the conditions specified therein, to the conditions set out in the appendix to this decision, and to the applicable determinations found in Public Notice 2004-63. |

As requested by LOOK, the Commission has updated certain of its current conditions of licence by replacing references to the 1986 regulations with references as appropriate to the Regulations. The Commission notes that LOOK's conditions of licence permit it to offer community programming should it wish to do so. The Commission reminds the licensee that, should it elect to offer community programming, it must do so in accordance with sections 1, 27 and 28 of the Regulations. By condition of licence, it must also adhere to the Cable Community Channel Standards, and the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary Code Regarding Violence in Television Programming, as amended from time to time and approved by the Commission. |

Appendix to Broadcasting Decision CRTC 2004-347 |

Conditions of licence |
|
1. a) For the purposes of the Broadcasting Distribution Regulations, as amended from time to time, the licensee is a Class 1 licensee; |
|
b) The licensee shall adhere to the Broadcasting Distribution Regulations with the exceptions of sections 16.1, 17, 18, 19, 20, 22, 24, 29, 30 and Part V. |
|
2. The licensee shall devote at least 50% of its allotted frequency spectrum to the distribution of programming services, other than pay-per-view programming services. |
|
3. The licensee shall distribute at least one licensed pay television service, specialty service or Category 1 service, as defined by the Broadcasting Distribution Regulations, for every two programming services of any other type that it may distribute, including those of licensed television stations, Category 2 services, pay-per-view services, non-Canadian television stations, or Part 2 eligible satellite services, but excluding the services of radio stations and other audio programming services. For the purposes of this condition, each pay-per-view service shall be counted as one television programming service, regardless of the number of channels used to distribute that service. |
|
4. Unless otherwise authorized by the Commission, the licensee is required to distribute the programming services from each transmitter site, as listed in Schedule 1 to this appendix. |
|
5. The licensee is authorized to distribute: |
|
a) any television stations that it might otherwise be required to distribute under section 17 of the Broadcasting Distribution Regulations; |
|
b) any licensed Canadian pay television service, specialty service, Category 1 service or Category 2 service; |
|
c) the distant Canadian television signals specified for each market in Schedule 2 to this appendix; |
|
d) no more than one set of U.S. 4+1 services; and |
|
e) any of the authorized Canadian or non-Canadian services set out in the List of Part 2 Eligible Satellite Services contained in appendix A of the Revised list of eligible satellite services, as amended from time to time. |
|
6. The non-Canadian programming services authorized for distribution under 5(e) above may only be offered in a package with Canadian pay television and/or Canadian specialty services, and are subject to the following linkage requirements: |
|
a) each Canadian pay television service (excluding a pay-per-view service) may be linked in a single package with no more than five non-Canadian programming services from Section A or Section B of the List of Part 2 Eligible Satellite Services, but in no case can the licensee distribute more than five channels of non-Canadian-originated services linked with Canadian pay television services, regardless of the number of Canadian pay television services distributed by the licensee; |
|
b) each Canadian specialty service, distributed within a package that may include one or more Canadian specialty and/or pay television services, may be linked with no more than one of the non-Canadian-originated services specified in Section A of the List of Part 2 Eligible Satellite Services; |
|
c) the licensee may designate one of the U.S. superstations specified in Section B of the List of Part 2 Eligible Satellite Services and distribute the signal of that superstation within a discretionary package that may include one or more Canadian specialty and/or pay television service; and |
|
d) the licensee is not permitted to offer a package of services containing only non-Canadian programming services. |
|
7. In anglophone markets, the licensee shall distribute at least one licensed French-language programming service, whether that of a licensed television station, a specialty service, Category 1 or Category 2 service, or pay television service, as defined in the Broadcasting Distribution Regulations, for every ten English-language programming services it distributes, including those of licensed television stations, specialty services, Category 1 or Category 2 services, pay television services, pay-per-view services and non-Canadian-originated programming services, or any combination thereof, but excluding the services of radio stations and other audio programming services. For the purposes of this condition, each pay-per-view service shall be counted as one television programming service, regardless of the number of channels used to distribute that service. |
|
8. The licensee is required to distribute the specialty service known as ARTV, as part of the basic service, to all of its subscribers in Quebec as well as to subscribers residing in the Ontario portion of the National Capital Region. |
|
9. The licensee is authorized to insert, at its option, certain promotional material as a substitute for the "local availabilities" (i.e. non-Canadian advertising material) of non-Canadian satellite services. At least 75% of these local availabilities must be made available for use by licensed Canadian programming services for the promotion of their respective services, for the promotion of the community channel and for unpaid Canadian public service announcements. A maximum of 25% of the local availabilities may be made available for the promotion of discretionary programming services and packages, customer service information, channel realignments, cable FM service and additional cable outlets. |
|
10. The licensee shall contribute 5% of its total subscriber revenues for basic, discretionary, pay television and pay-per-view services to support the development of Canadian programming in accordance with the following provisions: |
|
a) The licensee must contribute a minimum of 3% of its gross annual revenues derived from broadcasting activities to independently-administered Canadian production funds. Of this amount, 80% must be directed to the Canadian Television Fund (CTF), while up to 20% may be directed to one or more independently-administered production funds other than the CTF, provided that these other funds meet the criteria set out in Contributions to Canadian programming by broadcasting distribution undertakings, Public Notice CRTC 1997-98, as may be amended from time to time. |
|
b) The licensee may contribute up to a maximum of 2% of its gross annual revenues derived from broadcasting activities to local programming initiatives. Should the licensee choose to contribute less than 2% of its gross annual revenues to local programming initiatives, the balance shall be directed to independently-administered production funds in accordance with the provisions set out in paragraph (a). |
|
|
|
11. The licensee is authorized to distribute, as a special programming service, without advertising material, as defined in the Television Broadcasting Regulations, 1987 (the television regulations), as amended: |
|
|
|
|
|
12. For community programming and any other programming of a service that it originates, the licensee shall adhere to the Cable Community Channel Standards, and the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary Code Regarding Violence in Television Programming, as amended from time to time and approved by the Commission. |
|
13. The licensee is authorized to distribute an Electronic Programming Guide and a Pay-per-view Preview channel. |
|
14. Unless otherwise authorized by the Commission: |
|
a) the licensee shall delete the distribution of the programming of a non-Canadian television programming service and substitute the comparable programming of a Canadian television programming undertaking, licensed to serve the provinces of Ontario or Québec or a part thereof, where the signal of that Canadian television programming undertaking is distributed by the licensee; |
|
b) the licensee shall delete and substitute the programming of television programming services, in the manner contemplated in paragraph a) above, where the licensee has received, at least four days prior to the date on which the programming is broadcast, a written request for the deletion and substitution of the programming of the television programming service; and |
|
c) The licensee may discontinue the deletion and substitution of programming of a television programming service where the licensee verifies that the programming of the television programming services in respect of which the deletion is made, is not comparable, or is no longer scheduled for distribution in identical periods. |
|
