Acquisition of assets - Corporate reorganization - CJCA Edmonton, CJRY-FM Edmonton and CJSI-FM Calgary

1.

The Commission approves the applications by Touch Canada Broadcasting Inc. to effect a corporate reorganization in order to transfer the assets of the radio programming undertakings CJCA Edmonton, CJRY-FM Edmonton and CJSI-FM Calgary to Touch Canada Broadcasting (2006) Inc. (the general partner), and 1188011 Alberta Ltd. and Touch Canada Broadcasting Inc. (the limited partners), carrying on business as Touch Canada Limited Partnership (collectively Touch Canada LP).

The Commission received an intervention by Mr. Daniel DeJong in support of the applications.

The proposed corporate reorganization will be implemented in the following three steps:
 
  • Touch Canada Broadcasting Inc. will acquire the assets of CJCA, from Touch Canada Broadcasting Inc. (the general partner), and C.R.A. Investments Ltd. and Rosedale Meadows Development Inc. (the limited partners), carrying on business as CJCA Limited Partnership (collectively CJCA LP);
 
  • 1188011 Alberta Ltd., a corporation that is wholly owned by Mr. Charles Allard, will acquire the assets of CJRY-FM and CJSI-FM, from Touch Canada Broadcasting Inc.; and
 
  • Touch Canada LP will acquire the assets of CJCA, CJRY-FM and CJSI-FM, from Touch Canada Broadcasting Inc. and 1188011 Alberta Ltd., respectively.

Following this corporate reorganization, the ultimate control of the broadcasting undertakings will continue to be exercised by Mr. Allard.

Upon surrender of the licence for CJCA currently issued to CJCA LP, the Commission will issue a new licence to Touch Canada Broadcasting Inc. for CJCA. The licence will expire 31 August 2010, CJCA's current licence expiry date, and will be subject to the same terms and conditions as those set out in CJCA Edmonton - Licence renewal, Broadcasting Decision CRTC 2003-315, 22 July 2003 (Decision 2003-315).

Upon surrender of the licences for CJRY-FM and CJSI-FM currently issued to Touch Canada Broadcasting Inc., the Commission will issue new licences to 1188011 Alberta Ltd. for CJRY-FM and CJSI-FM, expiring 31 August 2009, the current licence expiry date for each of these stations. The licence for CJRY-FM will be subject to the same terms and conditions as those set out in Christian music FM radio station in Edmonton, Broadcasting Decision CRTC 2003-1, 7 January 2003 (Decision 2003-1). The licence for CJSI-FM will be subject to the same terms and conditions as those set out in Licence renewal for various radio stations, Broadcasting Decision CRTC 2002-249, 27 August 2002 (Decision 2002-249) and Correction, Broadcasting Decision CRTC 2002-249-1, 4 September 2002 (Decision 2002-249-1).

Upon receiving written confirmation of the closing of the final transfer of the assets of CJCA, CJRY-FM and CJSI-FM to Touch Canada LP, and surrender of the licences for the stations noted above, the Commission will then issue new licences to Touch Canada Broadcasting (2006) Inc. (the general partner), and 1188011 Alberta Ltd. and Touch Canada Broadcasting Inc. (the limited partners) carrying on business as Touch Canada Broadcasting Limited Partnership for CJCA, CJRY-FM and CJSI-FM.
 
  • The licence for CJCA will expire 31 August 2010, and will be subject to the same terms and conditions as those set out in Decision 2003-315.
 
  • The licence for CJRY-FM will expire 31 August 2009, and will be subject to the same terms and conditions as those set out in Decision 2003-1.
 
  • The licence for CJSI-FM will expire 31 August 2009, and will be subject to the same terms and conditions as those set out in Decisions 2002-249, with the exception of condition of licence no. 81, and 2002-249-1.

The Commission requests the applicant to file a duly signed and executed copy of the partnership agreement at the same time as it files the confirmation of the closing of the final transfer requested above.
 

Employment equity

In accordance with Implementation of an employment equity policy, Public Notice CRTC 1992-59, 1 September 1992, the Commission encourages the applicant to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
