Application by Newcap Inc. (Newcap), on behalf of CKVN Radiolink System Inc. (Radiolink) seeking authority to transfer the effective control of Radiolink to Newcap.
|
|
Radiolink is the licensee of the commercial radio station CHNR-FM Winnipeg, a licence awarded pursuant to Broadcasting Decision CRTC 2002-225 (Decision 2002-225) of 8 August 2002.
|
|
The application is for the transfer of 80.1% of Radiolink's shares to Newcap pursuant to a Share Purchase Agreement (SPA) dated 22 January 2005. As part of a first closing, Newcap holds 19.9% of Radiolink's voting shares.
|
|
Further pursuant to the SPA, Radiolink will enter into a management consulting agreement with Mr. Lee Smith for a 3-year term and an annual compensation of $60,000.
|
|
Newcap and Radiolink also entered into a Management Agreement on 26 January 2005 which confers certain general management services for CHNR-FM to Newcap.
|
|
The value of the transaction is estimated by Newcap at $1,790,000. The applicant has committed to the same terms and conditions currently in place at CHNR-FM including fulfilling the Canadian Talent Development budget committed by Radiolink in Decision 2002-225.
|
|
Newcap is offering to contribute $108,241 in tangible benefits over a seven years period (representing 6% of the value of the transaction) to the development of Canadian talent, should the Commission approve its application.
|
|
The Commission is consequently inviting comments on this application, as well as on the potential effects that approval of this application would have on the broadcasting industry as a whole.

The Commission notes the apparent non-compliance of the licensee during the 2001-2005 period with the condition of licence set out in Addition of conditions to the licence for CJYQ, Decision CRTC 2000-399, dated 5 October 2000, that requires the licensee to produce and distribute during each broadcast week, eight hours of Newfoundland-based programming for broadcast on each of the stations acquired from Radio VOCM in the transaction approved in Transfer of the ownership and control of VOCM and VOCM-FM St. John's, and of five other radio stations in Newfoundland, Decision CRTC 2000-141, dated 4 May 2000.

The licensee also proposes tochange the authorized contours by increasing the average effective radiated power from 80,600 watts to 98,000 watts.
