Preamble | ||
Applications by Astral Média Radio inc. (Astral) and 591991 B.C. Ltd. for authority to acquire, in the context of an exchange of assets, certain radio undertakings in Quebec. | ||
These applications follow Broadcasting Decision CRTC 2002-90, Transfer of control of 3903206 Canada Inc., of Telemedia Radio Atlantic Inc. and of 50% of Radiomedia Inc. to Astral Radio Inc., 19 April 2002 ("Decision 2002-90") and Broadcasting Decision CRTC 2003-205 Acquisition of radio assets in Quebec, 2 July 2003 ("Decision 2003-205"). | ||
Background | ||
In Decision 2002-90, the Commission approved the transfer of control of Radiomedia Inc. and of 3903206 Canada Inc. to Astral Radio inc. The approval was subject to several conditions precedent, including the sale of station CFOM-FM Lévis, Québec to a third party not associated with Astral Media inc. (Astral Media) and/or any of its affiliates. | ||
Consistent with Decision 2002-90, Les Entreprises Radio Etchemin inc. (Radio Etchemin), licensee of station CFOM-FM, is currently controlled by a trustee, Mr. Paul-Émile Beaulne, pursuant to a voting trust agreement approved by the Commission on 25 October 2002. | ||
Following the release of Decision 2002-90, the Commissioner of Competition expressed his concerns regarding the potential impact of that transaction on competition in the French-language radio industry in Quebec. As a result, Astral Media, Télémédia Radio inc. and the Competition Commissioner entered into a consent agreement requiring Astral Media to sell certain French-language AM radio stations it owns in Quebec. The consent agreement was registered with the Competition Tribunal on 3 September 2002. | ||
In Decision 2003-205, the Commission denied the application by TVA Group Inc. and Radio Nord Communications inc. for authority to acquire various radio undertakings in the province of Quebec from Astral including those that were the subject of Decision 2002-90 and of the consent agreement. | ||
To satisfy the terms of the consent agreement and to satisfy the condition precedent requiring the sale of radio station CFOM-FM, Astral now proposes a transaction that involves an exchange of assets with 591991 B.C. Ltd., a wholly owned subsidiary of Corus Entertainment Inc. (hereinafter referred to as Corus). |

Astral's Applications | ||
1) Application 2004-0279-3 by Astral for authority to acquire from Corus, the assets of the following radio stations along with their respective transmitters: | ||
1) CFVM-FM - Amqui 2) CJDM-FM - Drummondville 3) CJOI-FM - Rimouski 4) CIKI-FM - Rimouski, and 5) CFZZ-FM - Saint-Jean-Iberville (Saint-Jean-sur-Richelieu). |

Consistent with the Commercial Radio Policy (Public Notice 1998-41, 30 April 1998), Astral proposes tangible benefits of $660,000, representing 6% of the value of the proposed transaction, which according to parties is $11 million. | ||
Astral proposes to continue to assume responsibility for all remaining tangible benefits relating to previous transactions involving Télémédia, Radio Etchemin and Radiomutuel inc. | ||
Astral is requesting that a condition of licence be added to the licences for radio stations CFVM-FM Amqui and CFZZ-FM Saint-Jean-Iberville (Saint-Jean-sur-Richelieu), authorizing these "oldies" stations to reduce the level of canadian popular music to 30% as contemplated in Public Notice CRTC 1998-132, 17 December 1998. | ||
Astral is seeking licences to continue operating the above-noted undertakings upon surrender of the existing licences issued to Corus. | ||
2) Application 2004-0302-2 by Astral for a network licence to operate a French-language radio network for the purpose of broadcasting the football games of the Montreal Alouettes during the 2004, 2005 and 2006 seasons. | ||
The proposed radio network would originate from CKAC Montréal. | ||
This network would ultimately be transferred to Corus as part of the transaction described herein, in the event of approval of these applications. | ||
Corus Application | ||
3) Application 2004-0280-1 by Corus for authority to acquire from Astral the assets of the following radio stations: | ||
1) CKAC - Montreal 2) CHRC - Québec 3) CJRC - Gatineau 4) CKRS - Saguenay 5) CHLN - Trois-Rivières 6) CHLT - Sherbrooke 7) CKTS - Sherbrooke, and 8) CFOM-FM - Québec |

Corus proposes no tangible benefits on the basis that the above-mentioned stations have been unprofitable on a consolidated basis for the past three years. | ||
Corus proposes to continue to assume responsibility for all remaining tangible benefits related to its acquisition of various broadcasting undertakings from Power Broadcasting Inc. approved in Decision CRTC 2000-87. | ||
Corus is also seeking authority to acquire the assets of digital radio licences CKAC-DR-2 Montreal and CJRC-DR-2 Gatineau as well as those of the Radiomedia French-language information network; CHLN's network to broadcast some of its programming on CKSM; Montreal Canadiens hockey network; and the Montreal Alouettes network. | ||
Corus proposes to operate stations CJRC Gatineau, CHRC Québec, CHLT Sherbrooke, CHLN Trois-Rivières and CKRS Saguenay (Jonquière) as all-talk programming stations and provide listeners with network programming from station CKAC Montreal. | ||
With respect to CKAC Montreal, Corus proposes to transform the station into an all talk station, primarily oriented towards sports and health. The applicant proposes to phase-in this change over a period of three years. | ||
Corus also proposes to amend the conditions of licence of CKAC Montréal, CHRC Québec, CHLT Sherbrooke and CHLN Trois-Rivières in order to reduce the level of weekly local and news programming that these stations are required to broadcast from, which currently ranges from 41 to 64 hours weekly. The proposed conditions of licence are as follows: | ||

The licensee is required, by condition of licence, to broadcast during each broadcast week a minimum of 40 hours of local programming, including news. |

In Broadcasting Public Notice 2004-30, 5 May 2004, the Commission called for comments on the application by Metromedia CMR Broadcasting Inc. (Metromedia) to amend the broadcasting licence for its radio programming undertaking CHMP-FM (formerly CKOO-FM) Longueuil. | ||
a) The licensee proposes to operate within the specialty format devoting more than 50% of the broadcast week to spoken word. The licensee therefore proposes to replace the existing condition of licence regarding the format of the station which reads as follows: | ||

The station shall be operated within the Specialty format as defined in A Review of certain matters concerning radio, Public Notice CRTC 1995-60, 21 April 1995, and Revised content categories and subcategories for radio, Public Notice CRTC 2000-14, 28 January 2000, as amended from time to time. The licensee shall devote more than 50% of the broadcast week to Spoken Word. |

The licensee plans to broadcast spoken word programming consisting of information, public affairs, interviews, opinions and sports. | ||
The licensee plans to offer musical content only on Saturdays and Sundays for approximately 6 hours a day. | ||
b) The licensee proposes to remove the existing condition of licence which allows the broadcast of English-language vocal musical selections. | ||
The licensee would continue to be subject to the Radio Regulations, 1986 which, among other things, require that during a broadcast week, the station devote 65% or more of its vocal musical selections from content category 2 to musical selections in the French language and schedule them in a reasonable manner throughout each broadcast day. | ||
In light of the fact that Metromedia is a wholly-owned subsidiary of Corus Entertainment Inc. (Corus) and the fact that 591991 B.C. Ltd. (a wholly-owned subsidiary of Corus) is seeking authority to acquire the assets of various radio undertakings in Quebec (this application - 2003-1818-0 - is also part of the current public process [item #1]), the Commission wishes to examine, at the public hearing, the implications of the proposed amendments when examining the acquisition for the transfer of ownership. | ||

Craig is a privately held broadcast company with a number of undertakings in Alberta, Manitoba and Ontario. It is the licensee of CKAL-TV Calgary, CKAL-TV-1 Lethbridge, CKEM-TV Edmonton, CKEM-TV-1 Red Deer, CHMI-TV Portage LaPrairie/Winnipeg, CKX-TV Brandon, CKX-TV-1 Foxwarren, CKX-TV-2 Melita, CKX-TV-3 McCreary, CKXT-TV Toronto (known as Toronto One) and CKXT-DT Toronto. Through its subsidiaries, Craig is also the licensee of digital specialty television services, MTV Canada (Category 1), MTV2 (Category 2), TV Land (Category 2) and Stampede (Category 2), a service not yet in operation. | ||
CHUM | ||
CHUM is the owner of conventional television stations, radio stations and analogue specialty services across Canada. In addition, CHUM owns a number of digital specialty television services. | ||
Should the proposed transaction be approved, CHUM would become the third largest English-language national multi-station group in Canada, after CTV Television Inc. and Global Communications Limited. | ||
Toronto One | ||
The licence for Toronto One was granted by the Commission in Broadcasting Decision CRTC 2002-81, 8 April 2002. The station launched in September 2003. This transaction raises an issue of the integrity of the licensing process as the undertaking is being sold within the first year of the licence term. | ||
In order to comply with the Commission's common ownership policy, CHUM commits to divest of Toronto One, following the closing of the transaction. | ||
Value of transaction | ||
Pursuant to the Share Purchase Agreement, dated 10 April 2004, CHUM proposes to acquire all of the issued and outstanding shares of Craig for a total cash consideration of $265 million. | ||
Tangible and Intangible Benefits | ||
CHUM proposes a tangible benefit package of $20 million (10.41% of the value of the transaction excluding Toronto One and the Category 2 services). The benefits are described as follows: | ||
- Priority Programming: $10.5 million; - Local Programming: $6.815 million, and - Social Benefits and Talent Development: $2.685 million. |
||
CHUM proposes no tangible benefits for the Category 2 specialty services on the grounds that these services do not have genre protection and are not guaranteed distribution. | ||

The service will build and enhance a bridge between Canadians of ethnic communities and their first generation born-Canadian children. The service would only provide programming that is meant to provide a link for first Generation Canadians to their roots and cultural origins. At no time will this service target Canadians of British Isle, French or Aboriginal groups or origin. Furthermore, programming provided under this service will strictly adhere to the Ethnic programming guidelines. It will target ethnic communities in the English and French languages, providing a culturally diverse programming that bridges first generation Canadians to their ethnic origins. | ||
The applicant proposes to broadcast 80% of its programming in English, and 20% in French. | ||
