Mrs. Joan Myles Dear Madam:
The Commission approves the above-noted application for authority to effect a change in the effective control of AGI Cablevision Inc. (AGI). The change in effective control will be effected through the transfer of all of the issued and outstanding shares of Information Communication Services (ICS) Inc., of which AGI Cablevision Inc. is a wholly owned subsidiary to Regional Cablesystems Inc. The Commission notes that Regional Cablesystems Inc. will now exercise control over AGI. Furthermore the Commission understands, that following the transaction, AGI will amalgamate with Regional Cablesystems Inc. The Commission expects the amalgamation documents to be forwarded once they become available along with an executed copy of the share purchase agreement. The Commission will modify its ownership records to reflect the authorized ownership of AGI as shown in the attached appendix. All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
