Dear Madam:

Re: Correction to Decision CRTC 2001-674 dated 5 November 2001 Application No. 2001-1098-2- Approved Transfer of control- Regional Cablesystems Inc., on behalf of AGI Cablevision Inc., requests authority to acquire effective control of AGI Cablevision Inc., licensee of cable distribution undertakings serving Alvinston, plus 16 other Ontario locations.

The Commission approves the above-noted application for authority to effect a change in the effective control of AGI Cablevision Inc. ("AGI"). Regional Cablesystems Inc. ("Regional") will be acquiring all of the issued and outstanding shares of AGI from Information Communication Services (ICS) Inc., ("ICS") a wholly owned subsidiary Amtelecom Group Inc. ("Amtelecom").

The transaction will be achieved through two steps. The first step involves the transfer by Amtelecom of all the issued and outstanding shares of AGI to ICS. The second step involves the transfer by ICS of all the issued and outstanding shares of AGI to Regional.

The Commission notes that Regional Cablesystems Inc., will now exercise control over AGI. Furthermore the Commission understands, that following the transaction, AGI will amalgamate with Regional Cablesystems Inc. The Commission expects the amalgamation documents to be forwarded once they

become available along with an executed copy of the share purchase agreement.

The Commission will modify its ownership records to reflect the authorized ownership of AGI as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
