Decision CRTC 95-434
Télé-Câble Charlevoix (1977) Inc.

Chute-aux-Outardes, Pointe-aux-Outardes, Ragueneau and Pointe-Lebel, Quebec - 941479800
Acquisition of assets
Following a Public Hearing in the National Capital Region beginning on 15 May 1995, the Commission approves the application for authority to acquire the assets of the cable distribution undertaking serving Chute-aux-Outardes and Pointe-aux-Outardes from Télécâble Côte-Nord Inc., and for a broadcasting licence to continue the operation of this undertaking.
The Commission also approves the following applications submitted in the context of this transaction:
* to delete the local head ends of its undertakings serving Ragueneau and Pointe-Lebel and to link these undertakings by optical fibre to the head end of the Chute-aux-Outardes and Pointe-aux-Outardes undertaking;
* to change the authorized service area of Chute-aux-Outardes and Pointe-aux-Outardes by including the Parc McCormick area for a total of 18 potential households.
The Commission will issue a licence to Télé-Câble Charlevoix (1977) Inc., expiring 31 August 2001, upon surrender of the current licences for the undertakings at Chute-aux-Outardes and Pointe-aux-Outardes, Ragueneau and Pointe-Lebel.
The operation of this undertaking will be regulated pursuant to Parts I and III of the Cable Television Regulations, 1986 (the regulations). The authority granted herein is subject to the same conditions as those in effect under the current licence, as well as to any other condition specified in this decision and in the licence to be issued.
The cost of the transaction, which includes acquisition of the assets of the undertakings which are the subject of Decisions CRTC 95-434 to 95-437 of today's date, is $4,160,000. Based on the evidence filed with the applications, the Commission has no concerns with respect to the availability or the adequacy of the required financing and is satisfied with the benefits in the order of $544,000 flowing from this transaction. Moreover, the Commission is of the view that approval of this application is in the public interest.
The Commission notes the purchaser's commitment that subscribers will not be required to pay higher fees merely because the ownership of the cable systems has changed hands.
The Commission approves, by condition of licence, the applicant's request to be relieved from the requirement of paragraph 22(1)(a) of the regulations to distribute the local signals of CBMIT (CBC) and CBST-19 (CBC) Baie-Comeau on the basic service. The applicant will distribute instead the signals of CBMT (CBC) Montréal, received via satellite, and CJBR-TV (CBC) Rimouski on the basic band. The Commission notes the licensee's argument that the programming offered by CBMT and CJBR-TV is identical to that offered by CBMIT and CBST-19.
In Public Notice CRTC 1992-59 the Commission announced implementation of its employment equity policy. It advised licensees that, at the time of licence renewal or upon considering applications for authority to transfer ownership or control, it would review with applicants their practices and plans to ensure equitable employment. In keeping with the Commission's policy, it encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
