The transactions described herein represent a major intracorporate reorganization where cable, radio and television undertakings under the responsibility of Maclean Hunter Limited are grouped under various separate corporate entities. The proposed reorganization is to be effected without any change occurring in the ultimate control, programming or management of the respective licensees.

The Commission notes that the transfers of the assets of the television programming undertakings CFCN-TV Calgary and CFCN-TV-5 Lethbridge, Alberta from CFCN Communications Limited to MH Acquisition Inc. were previously approved by Decision CRTC 94-70, dated 4 March 1994. Both MH Acquisition Inc. and CFCN Communications Limited are wholly-owned subsidiaries of Maclean Hunter Limited.
