Acquisition of assets
|
Following a Public Hearing in Quebec City beginning on 4 May 1993, the Commission approves the applications for authority to acquire the assets of the cable distribution undertakings serving the above-mentioned communities from Câble Télé Plus Régional Inc., and for broadcasting licences to continue the operation of these undertakings.

The Commission will issue licences to Câble Télé Plus Québec 1 Inc., expiring 31 August 1995 for the undertakings serving Berthierville, Deschambault, Lanoraie-d'Autray, Rawdon, Saint-Adelphe, Saint-Casimir, Saint-Édouard-de-Maskinongé, Saint-Félix-de-Valois, Saint-Ignace-de-Loyola, Saint-Justin, Saint-Thuribe, Saint-Ubalde, Sainte-Angèle-de-Prémont and Sainte-Pétronille, 31 August 1996 for the undertaking serving Saint-Joachim-de-Montmorency and 31 August 1998 for the undertakings serving Chénéville, Huberdeau, Montpellier, Namur, Ripon, Saint-Jean-de-Matha and Sainte-Béatrix. The new licences will be issued upon surrender of the current licences and will be subject to the conditions in effect under the current licences, as well as to those conditions specified in this decision and in the licences to be issued.

The operation of the undertakings serving Deschambault, Lanoraie-d'Autray, Saint-Adelphe, Saint-Casimir, Saint-Édouard-de-Maskinongé, Saint-Justin, Saint-Thuribe, Saint-Ubalde, Sainte-Angèle-de-Prémont and Sainte-Pétronille will be regulated pursuant to Parts I and II of the Cable Television Regulations, 1986 (the regulations) and that of those serving Berthierville, Chénéville, Huberdeau, Montpellier, Namur, Rawdon, Ripon, Saint-Félix-de-Valois, Saint-Ignace-de-Loyola, Saint-Jean-de-Matha, Saint-Joachim de Montmorency and Sainte-Béatrix, pursuant to Parts I and III of the regulations.

In approving these applications, the Commission has taken into account the fact that Câble Télé Plus Régional Inc. is a wholly-owned subsidiary of Câble Télé Plus Québec 1 Inc. and that the transactions thus represent inter-corporate reorganizations without any change occurring in the control, programming or management of the licensee.

In Public Notice CRTC 1992-59 the Commission announced implementation of its employment equity policy. It advised licensees that, at the time of licence renewal or upon considering applications for authority to transfer ownership or control, it would review with applicants their practices and plans to ensure equitable employment. In keeping with the Commission's policy, it encourages the applicant to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.

In addition to the services required or authorized to be distributed pursuant to the applicable sections of the regulations, the applicant is authorized, by condition of licence, to distribute, at its option, as part of the basic service of the undertakings serving Deschambault, Saint-Casimir, Saint-Édouard-de-Maskinongé, Saint-Justin, Saint-Thuribe, Saint-Ubalde and Sainte-Angèle-de-Prémont, CITV-TV Edmonton, WXYZ-TV (ABC), WJBK-TV (CBS) and WDIV (NBC) Detroit, Michigan, received via satellite from the CANCOM network, as well as CHAN-TV Vancouver, also received from the CANCOM network, as part of the basic service of the undertakings serving Deschambault, Saint-Casimir, Saint-Thuribe and Saint-Ubalde.

With respect to the undertakings at Lanoraie-d'Autray and Saint-Adelphe, in addition to the services required or authorized to be distributed pursuant to the applicable sections of the regulations, the applicant is authorized, by condition of licence, to distribute, at its option, CITV-TV Edmonton, WXYZ-TV (ABC), WJBK-TV (CBS) and WDIV (NBC) Detroit, Michigan, received via satellite from the CANCOM network, as part of the basic service of both undertakings, as well as CHAN-TV Vancouver, also received from the CANCOM network, as part of the basic service of the undertaking serving Saint-Adelphe.

With respect to the undertaking at Sainte-Pétronille, in addition to the services required or authorized to be distributed pursuant to the applicable sections of the regulations, the applicant is authorized, by condition of licence, to distribute, at its option, CFCF-TV, CFTM-TV and CFTU-TV Montréal, CHLT-TV Sherbrooke, CKTM-TV Trois-Rivières, WCAX-TV (CBS) and WVNY (ABC) Burlington, Vermont, WCFE-TV (PBS) and WPTZ (NBC) Plattsburgh, New York, received via microwave from Inter-Vision, Quebec, as part of the basic service. Consistent with Decisions CRTC 86-982 and 90-650 dated 30 November 1986 and 10 July 1990 respectively, it is a condition of the licences of the undertakings serving Saint-Joachim de Montmorency, Berthierville, Rawdon and Saint-Félix-de-Valois, that the licensee be relieved of the requirement that it distribute at least four television programming services, as provided for in section 23 of the regulations, so long as it distributes only those U.S. television services listed in the current applications or as may be authorized by the Commission.

The Commission acknowledges the written intervention from TVOntario opposing the distribution of TVO or "La Chaîne" by the licensee on the undertakings serving Berthierville, Huberdeau, Lanoraie-d'Autray, Namur, Saint-Adelphe, Saint-Casimir, Saint-Ignace-de-Loyola, Saint-Thuribe and Saint-Ubalde. The Commission notes that the applicant has indicated that it would not distribute TVOntario's services.
