Pursuant to Public Notice CRTC 1988-174 dated 26 October 1988, the Commission approves the application for authority to transfer effective control of Câblevision Haut St-Laurent Inc. (Câblevision), licensee of the broadcast receiving undertaking serving Huntingdon, through the transfer of one Class A voting share, representing 50% of the licensee's votes, from 151641 Canada Inc., which is wholly-owned by Mr. Lucien Bélisle, to Temsat Inc., which is wholly-owned by Mr. Raymond Laforest who currently holds the remaining 50% of the licensee's votes.

The Commission notes that, as a result of this transaction, Temsat Inc. will become the sole shareholder of Câblevision and that Raymond Laforest will have indirect control of the licensee.

Mr. Laforest has worked in the cable industry for over twenty years. For its part, the engineering firm Temsat Inc. has played an active role in the cable industry for more than five years, and has successfully established more than 40 cable systems in small communities throughout Quebec.

The Commission notes that the Huntingdon system serves approximately 180 subscribers. The operation of this undertaking was authorized by Decision CRTC 86-1025 dated 14 October 1986 and the licence expires 30 September 1990. Given the undertaking's fragile financial situation, as well as Mr. Bélisle's inability to make further investments and his desire to withdraw from the undertaking, Temsat Inc. has agreed to purchase Mr. Bélisle's share in Câblevision.

In view of Temsat Inc.'s experience in the cable industry, the resources at its disposal, the precarious financial situation of the undertaking, and the commitment by Temsat Inc. to maintain the current level of service and to invest the necessary funds to ensure continuation of the service, the Commission is convinced that this transaction will benefit the community served and that approval is in the public interest.
