Gestion Appalaches inc. - Acquisition of assets (corporate reorganization)

The Commission approves the applications by Attraction Radio inc. (Attraction Radio), on behalf of Gestion Appalaches inc. (Gestion Appalaches), for authority to effect a corporate reorganization in multiple steps, with the objective of simplifying the ownership structure of Attraction Radio. The proposed reorganization includes the transfer of assets and requires the reissuance of licences under the same terms and conditions as those in effect under the current licences held by Radio Mégantic ltée (Radio Mégantic), Radio Victoriaville ltée (Radio Victoriaville) and Réseau des Appalaches (FM) ltée (Réseau des Appalaches), subsidiaries of Gestion Appalaches (the subsidiaries). The Commission did not receive any interventions regarding these applications.

Effective control of Attraction Radio, Gestion Appalaches and its subsidiaries is exercised by Mr. Richard Speer.

The proposed reorganization will take place in three steps, as described below.
Step 1 (application 2016-0198-0)
Radio Mégantic, licensee of CKLD-FM Thetford Mines, Quebec, and its transmitter CJLP-FM Disraeli, will be liquidated into Gestion Appalaches.
Upon surrender of the current licence held by Réseau Mégantic, the Commission will issue a new broadcasting licence to Gestion Appalaches inc., which will expire 31 August 2023, the expiration date of the current licence,Footnote 1 to continue the operation of CKLD-FM and its transmitter CJLP-FM under the same terms and conditions as those in effect under the current licence.
Step 2 (application 2016-0317-6)
Radio Victoriaville, licensee of CFDA-FM Victoriaville, Quebec, will be liquidated into Gestion Appalaches.
The current licence for CFDA-FM was renewed until 31 August 2020 in Broadcasting Decision 2013-460. However, given the absence of non-compliance on the station’s record, and to simplify procedures for the licensee, the Commission finds it appropriate to harmonize the expiry date of this licence with those of the other two stations affected by the reorganization.
Consequently, upon surrender of the current licence issued to Radio Victoriaville, the Commission will issue a new broadcasting licence to Gestion Appalaches inc., which will expire 31 August 2023, to continue the operation of CFDA-FM under the same terms and conditions as those in effect under the current licence.
Step 3 (application 2016-0319-2)
Réseau des Appalaches, licensee of CFJO-FM Thetford Mines, Quebec, and its transmitter CFJO-FM-1 Lac Mégantic, will be liquidated into Gestion Appalaches.
Upon surrender of the current licence issued to Réseau des Appalaches, the Commission will issue a new broadcasting licence to Gestion Appalaches inc., which will expire 31 August 2023, the expiration date of the current licence,Footnote 2 to continue the operation of CFJO-FM and its transmitter CFJO-FM-1 under the same terms and conditions as those in effect under the current licence.

Following completion of the transaction, Gestion Appalaches will become the licensee of the radio stations currently operated by the subsidiaries. The transaction will not affect the effective control of the undertakings, which will continue to be exercised by Mr. Speer.
