Various television services – Acquisition of assets (corporate reorganization)
- The Commission approves the applications by Blue Ant Media Inc. (BAMI), on behalf of its licensed subsidiaries, for authority to effect a multi-step corporate reorganization resulting in the transfer of its broadcasting assets to 8946337 Canada Limited and Blue Ant Media Solutions Inc. (BAMSI), partners in a general partnership carrying on business as Blue Ant Television General Partnership (collectively, Blue Ant TV GP). The Commission did not receive any interventions regarding these applications.
- BAMI wholly owns BAMSI and 8182493 Canada Inc. (8182493 Canada), partners in a general partnership carrying on business as Blue Ant Media Partnership (collectively, Blue Ant Media GP). Blue Ant Media GP is the licensee of the discretionary services AUX TV, BITE Television and travel + escape. Blue Ant Media GP is also authorized to operate the four discretionary services GlassBOX Système, GlassBOX Horror, GlassBOX News and GlassBOX Créneau musical: musiques émergentes.Footnote 1
- BAMSI wholly owns 8946337 Canada Limited and Blue Ant Television Ltd. Blue Ant Television Ltd. is the licensee of the discretionary services Cottage Life, HIFI, Love Nature (formerly Oasis HD), radX and Smithsonian Channel.
- This transaction will not affect the effective control of the undertakings, which will continue to be exercised by Mr. Michael MacMillan.
- Following completion of the transaction, Blue Ant TV GP will become the licensee of the undertakings mentioned above. The corporate reorganization will be completed through a series of transactions as set out below.
Step 1
- BAMI transfers its shares of 8182493 Canada to BAMSI.
- Blue Ant TV GP acquires from Blue Ant Media GP the assets of AUX TV, BITE Television and travel + escape, as well as the four discretionary services that are not yet in operation.
- 8182493 Canada winds up into BAMSI, and Blue Ant Media GP is dissolved.
- Upon surrender of the licences issued to Blue Ant Media GP, the Commission will issue new broadcasting licences to 8946337 Canada Limited and Blue Ant Media Solutions Inc., partners in a general partnership carrying on business as Blue Ant Television General Partnership, to operate the undertakings set out above under the same terms and conditions as those in effect under the current licences.
Step 2
- Blue Ant Television Ltd. winds up into BAMSI. As a result, BAMSI acquires the broadcasting assets held by Blue Ant Television Ltd., namely Cottage Life, HIFI, Love Nature, radX and Smithsonian Channel.
- Upon surrender of the licences issued to Blue Ant Television Ltd., the Commission will issue new broadcasting licences to Blue Ant Media Solutions Inc. to operate the undertakings set out above under the same terms and conditions as those in effect under the current licences.
Step 3
- Blue Ant TV GP acquires from BAMSI the assets of Cottage Life, HIFI, Love Nature, radX and Smithsonian Channel.
- Upon surrender of the licences issued to BAMSI, the Commission will issue new broadcasting licences to 8946337 Canada Limited and Blue Ant Media Solutions Inc., partners in a general partnership carrying on business as Blue Ant Television General Partnership, to operate the undertakings set out above under the same terms and conditions as those in effect under the current licences.
- Following the transactions, Blue Ant TV GP will own all of the authorized broadcasting undertakings under BAMI’s corporate structure.
- With respect to the services that are not yet in operation, Blue Ant TV GP must first meet the requirements set out in Broadcasting Decisions 2012-70, 2012-85, 2012-104 and 2012-175 before the Commission can issue licences for these services.
- The Commission requires the applicant to file an executed copy of the documentation supporting the wind-up of 8182493 Canada and an executed copy of the partnership registration for Blue Ant Television General Partnership by 3 July 2015.
Employment equity
- Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with the Department of Employment and Social Development, its employment equity practices are not examined by the Commission.
