Canadian LNP Consortium Inc. – Amended and Restated Unanimous Shareholders Agreement

File number: 8340-C39-0093/00

1.      On 27 May 2011, the Canadian LNP[1] Consortium Inc. (CLNPC) filed, in confidence and for Commission approval, proposed changes to its Amended and Restated Unanimous Shareholders Agreement (the amended USA), pursuant to Canadian LNP Consortium Inc. – Request for a change in access to Canadian Number Portability Administration Centre Service Management System, Telecom Decision CRTC 2011-301, 6 May 2011 (Telecom Decision 2011-301).

2.      The Commission notes that, in Telecom Decision 2011-301, it requested that the CLNPC incorporate into the amended USA the determination that third parties be permitted to directly access the portability correct routing (PCR) information in the Number Portability Administration Centre Service Management System (NPAC/SMS) if they can adequately demonstrate that they require access to this information for proper traffic or call routing.

3.      The Commission considers that the amended USA reflects this determination. The Commission also notes that the CLNPC submitted that the amended USA has been approved by the CLNPC and all its shareholders, and is binding on the individual shareholders and on the CLNPC.

4.      Accordingly, the Commission approves the CLNPC’s proposed changes to the amended USA.
