Canadian Local Number Portability Consortium Inc. - Amended and Restated Unanimous Shareholders Agreement

1. On 26 May 2010, the Canadian Local Number Portability Consortium Inc. filed, in confidence, for Commission approval, proposed changes to its Amended and Restated Unanimous Shareholders Agreement (the amended USA).
2. The Commission notes that the proposed changes to the amended USA were prompted by developments in the local number portability environment, the growth in the number of Corporation Shareholders, and the need to delete provisions that no longer apply.
3. The Commission also notes that the amended USA has been executed by the Corporation and all Corporation Shareholders, and is binding on the individual Shareholders and the Corporation.
4. Accordingly, the Commission approves the proposed changes to the amended USA.
