Corporate reorganization (assets)

The Commission approves the application by Bell ExpressVu Inc. (the general partner), and Bell Canada and Bell ExpressVu Inc., partners in BCE Holdings G.P. (the limited partner), carrying on business as Bell ExpressVu Limited Partnership (collectively, the applicant or Bell ExpressVu LP), for authority to effect a corporate reorganization within the partnership.

The applicant also requested new broadcasting licences to continue the operation of its broadcasting undertakings set out in paragraph 3 under the same terms and conditions as those in effect under the current licences. The Commission did not receive any interventions in connection with this application.

The Commission notes that the current licensee (i.e. Bell ExpressVu Inc. (the general partner), and BCE Inc. and Bell Canada (partners in BCE Holdings G.P., a general partnership that is the limited partner), carrying on business as Bell ExpressVu Limited Partnership), is the holder of a national satellite relay distribution undertaking, a national direct-to-home (DTH) satellite distribution undertaking, a national terrestrial pay-per-view (PPV) programming undertaking, a national video-on-demand (VOD) programming undertaking, and a national DTH PPV programming undertaking.

The Commission also notes that this corporate reorganization involves a change at the partner level of Bell ExpressVu LP, which consists of the removal of BCE Inc. as one of the licensed partners. This transaction does not affect the control of the undertakings as it continues to be exercised by BCE Inc., the direct and indirect sole owner of Bell Canada and Bell ExpressVu Inc.

Upon surrender of the current licences, the Commission will issue new ones to Bell ExpressVu Inc. (the general partner), and Bell Canada and Bell ExpressVu Inc., partners in BCE Holdings G.P. (the limited partner), carrying on business as Bell ExpressVu Limited Partnership. The licence for each undertaking will expire on the date indicated below, and will be subject to the same terms and conditions as those in effect under the current licence for each undertaking.

Reminder

In Accessibility of telecommunications and broadcasting services, Broadcasting and Telecom Regulatory Policy 2009-430, 21 July 2009 (Broadcasting and Telecom Regulatory Policy 2009-430), the Commission stated its intention to impose on broadcasting distribution undertakings, at the time of their licence renewals, conditions of licence relating to accessibility provisions. Accordingly, the Commission will consider imposing such conditions of licence on the distribution undertakings noted above at the time of the licence renewal for each service. In the meantime, the Commission expects the applicant to adhere, as soon as possible, to the applicable requirements specified in Broadcasting and Regulatory Telecom Regulatory Policy 2009-430.

In Broadcasting and Telecom Regulatory Policy 2009-430, the Commission also stated its intention to impose on broadcasting services, at the time of their licence renewals, conditions of licence relating to accessibility provisions. The Commission intends to explore accessibility issues further with the VOD and PPV undertakings noted above at the time of licence renewal.
