ACCESS – The Education Station and its transmitters – Acquisition of assets (Corporate reorganization)

1.

The Commission approves the application by CTVglobemedia Inc. (CTVgm) on behalf of a wholly-owned subsidiary of CTV Limitedto be incorporated for authority to acquire from CTV Limited (CTV), as part of a corporate reorganization, the assets of the satellite-to-cable programming undertaking known as ACCESS – The Education Station (ACCESS) Edmonton and its transmitters CIAN-TV Calgary and CJAL-TV Edmonton, Alberta and for a new broadcasting licence to continue the operation of the undertakings under the same terms and conditions as those in effect under the current licence. The Commission did not receive any interventions in connection with this application.

CTV, the current licensee of the undertakings mentioned above, is a corporation wholly-owned and controlled by CTVgm.

The applicant has indicated that the transaction will realize tax efficiencies.

The transaction will be effected by transferring the assets and the undertakings mentioned above to a wholly owned subsidiary to be incorporated (CTV Limited (OBCI)) under CTV. Following completion of the transaction, CTV Limited (OBCI) will become the licensee of ACCESS and its transmitters.

This corporate reorganization will not affect the control of ACCESS and its transmitters, which will continue to be exercised by CTVgm.

The licence for ACCESS will expire 31 August 2010, the current expiry date, and will be subject to the same terms and conditions as those in effect under the current licence. The Commission will issue the licence once:
 
  • the current licence has been surrendered to the Commission; and

  • the applicant has satisfied the Commission, with supporting documentation, that an eligible Canadian corporation has been incorporated in accordance with the application in all material respects.

The Commission requests that CTV Limited, on behalf of a wholly-owned subsidiary to be incorporated, file executed copies of the resolution of the board of directors and of the Transfer Agreement within 60 days of the date of this decision.
 

Reminder

In Accessibility of telecommunications and broadcasting services, Broadcasting and Telecom Regulatory Policy 2009-430, 21 July 2009 (Broadcasting and Telecom Regulatory Policy 2009-430), the Commission stated its intention to impose on television broadcasters and broadcasting distribution undertakings, at the time of their licence renewals, conditions of licence relating to accessibility provisions. Accordingly, the Commission will consider imposing such conditions of licence on ACCESS at the time of the licence renewal for this service. In the meantime, the Commission expects ACCESS to adhere, as soon as possible, to the applicable requirements specified in Broadcasting and Regulatory Policy 2009-430.
