Various terrestrial broadcasting distribution undertakings in Ontario and Quebec operated by CF Cable TV Inc. – Acquisition of assets (corporate reorganization)

The Commission approves the application by Videotron Ltd. (Videotron) for authority to acquire from CF Cable TV Inc. (CF Cable TV), as part of a corporate reorganization, the assets of all terrestrial broadcasting distribution undertakings (BDUs) serving the above-mentioned locations and for new licences to continue the operation of the undertakings under the same terms and conditions as those in effect under the current licences. The Commission did not receive any interventions in connection with this application.

CF Cable TV, the current licensee of the above-mentioned undertakings, is a wholly owned subsidiary of Videotron, which is in turn controlled by Quebecor Media Inc. (QMI).

This transaction will be completed through the wind-up of the assets of CF Cable TV into Videotron on 1 January 2010.

Following completion of the transaction, Videotron will become the licensee of the terrestrial BDUs serving the above-mentioned locations. The Commission notes that this corporate reorganization will not affect the control of the terrestrial BDUs, which will continue to be exercised by QMI.

Upon surrender of the current licences issued to CF Cable TV Inc., the Commission will issue new licences to Videotron Ltd. The new licences will expire on the same date as the current licences and will be subject to the same terms and conditions as those set out in the current licences.
 

Reminder

In Accessibility of telecommunications and broadcasting services, Broadcasting and Telecom Regulatory Policy CRTC 2009-430, 21 July 2009 (Broadcasting and Telecom Regulatory Policy 2009-430), the Commission stated its intention to impose on television broadcasters and BDUs, at the time of their licence renewals, conditions of licence relating to accessibility provisions. Accordingly, the Commission will consider imposing such conditions of licence on the BDUs serving the above-mentioned locations at the time of the licence renewal for those undertakings. In the meantime, the Commission expects the BDUs serving the above-mentioned locations to adhere, as soon as possible, to the applicable accessibility requirements specified in Broadcasting and Telecom Regulatory Policy 2009-430.
