The Commission approves the application by Quebecor Media Inc. (QMI) on behalf of TVA Group Inc. (TVA) for authority to acquire from Sun TV Company (Sun TV), as part of a corporate reorganization, the assets of the English-language television programming undertaking CKXT-TV Toronto and its transmitter CKXT-TV-1 Hamilton and the assets of the English-language transitional digital television programming undertaking CKXT-DT Toronto and its transmitters CKXT-DT-1 Hamilton, CKXT-DT-2 London and CKXT-DT-3 Ottawa and for new licences to continue the operation of the undertakings under the same terms and conditions as those in effect under the current licences. The Commission did not receive any interventions with respect to this application. |

TVA, a company controlled by QMI, holds 75% of the voting shares of Sun TV. QMI holds the remaining voting shares of Sun TV via its subsidiaries 3535991 Canada Inc. and Sun Media Corporation. |

QMI stated that the purpose of the corporate reorganization of Sun Media Corporation was to increase administrative efficiency by ensuring that decisions affecting the future of conventional television are made by administrators who are experts in their field without having an impact on the public. As a result, Sun Media Corporation will be able to focus on adapting newspaper and Internet publishing to the digital era. |

Following the transaction, TVA will become the licensee of the above-mentioned undertakings. |

The proposed corporate reorganization will not affect control of the above-mentioned undertakings, which will continue to be exercised by QMI. |

Upon surrender of the licences currently issued to Sun TV Company, the Commission will issue new licences to TVA Group Inc. The licences will expire 31 August 2010, the expiry date of the current licences, and will be subject to the same terms and conditions as those in effect under the current licences. |

In Accessibility of telecommunications and broadcasting services, Broadcasting and Telecom Regulatory Policy CRTC 2009-430, 21 July 2009 (Broadcasting and Telecom Regulatory Policy 2009-430), the Commission indicated its intention to impose conditions of licence concerning accessibility on television broadcasters and broadcast distribution undertakings at their next licence renewals. Accordingly, the Commission will examine the imposition of such conditions of licence on CKXT-TV Toronto and its transmitter and on CKXT-DT Toronto and its transmitters at their next licence renewals. Meanwhile, the Commission expects CKXT-TV Toronto and its transmitter and CKXT-DT Toronto and its transmitters to adhere, as soon as possible, to the accessibility requirements set out in Broadcasting and Telecom Regulatory Policy 2009-430. |
