1163031 is the licensee of the English-language specialty programming undertaking known as Outdoor Life Network. |
|
1163031 is wholly-owned by 1163030 Ontario Inc. (the parent corporation), which in turn is owned in equal parts (33.33% each) by CTV Inc. (CTV), Rogers Broadcasting Limited (Rogers) and Versus, L.P. (formerly Outdoor Life Network, L.L.C.), a non-Canadian entity. |

1163031 is jointly controlled by CTV and Rogers pursuant a Voting Trust Agreement dated 26 September 1997, in which the parties agree to vote their shares jointly as one voting unit. In addition CTV assume responsibility for the day-to-day operations. |
|
The transaction will be effected through the transfer of all the issued and outstanding shares currently held by CTV and Versus, L.P. in the capital of 1163030 Ontario Inc., to Rogers. As a result, effective control of 1163031 would be exercised by Rogers, a corporation ultimately controlled by Edward S. Rogers. |
|
The value of the transaction, based on the terms of the share transfer agreements, is $38,805,000 and the applicant proposed a tangible benefits package totalling $3,880,500. |
|

Application by ARTV inc. seeking authority to transfer the voting shares of CTVglobemedia Inc. (CTV), to Canadian Broadcasting Corporation (CBC), as per the Specialty Services Regulations, 1990, section 10(4)(b). |

ARTV inc. is the licensee of the French-language specialty programming undertaking ARTV. |
|
The CBC and CTV respectively hold 45.09% and 15.57% of the voting shares in ARTV inc. As a result of the transaction, the CBC would increase its participation to 60.66%. The other shareholders are Télé-Québec (24.34%) and ARTE France (15%). |
|
ARTV is currently controlled by its board of directors, pursuant to the terms of the unanimous shareholders agreement. |
|
The applicant does not propose any tangible benefits on the basis that the proposed transaction does not represent a change in the effective control of ARTV inc. However, in the event the Commission were to require benefits, the applicant has proposed a tangible benefits package of $176,000 to be spent over a seven-year period, representing 10% of the value of the transaction ($1,760,000), based on the terms of the Share Purchase Agreement. |

The licensee proposes to change the authorized contours by increasing the average effective radiated power from 2,900 watts to 36,000 watts, by decreasing the effective antenna height and by relocating the antenna (maximum effective radiated power 100,000 watts/effective antenna height 41.5 metres). |
|
The licensee wishes to change the authorized contours of CJRC-FM in order to get the same coverage as the coverage presently authorized for its AM station CJRC. |
