The applicant is seeking new licences until 31 August 2015. The applicant proposes to operate the television stations under the same conditions of licence but with new commitments starting on 1st September 2008. The applications contain new proposals regarding programming and program schedules. |
|
Change in effective control |
|
The proposed transaction would be completed through the transfer of all of the issued and outstanding shares of 3947424 Canada Inc., the parent corporation of TQS, currently held by CTV Television Inc. (CTV) (40%) and Cogeco (60%), to Remstar Broadcasting. |
|
The owners of Remstar Broadcasting, Mr. Julien and Mr. Maxime Rémillard, also own equal interests (50%) in Remstar Corporation, an independent Canadian entertainment corporation engaged in the development, financing, production and distribution of film and television products. |
|
The applicant proposes that it will contribute an amount of $1 million over a seven-year period as tangible benefits. |
|
The applicant confirmed its commitment to assume any unfulfilled tangible benefits arising as a result of the acquisition of TQS by CTV and Cogeco, subject to certain requirements arising from the plan of arrangement with the creditors. |
|
General |
|
The Commission will consider these applications in the same manner as other over-the-air applications and will examine the proposals related to programming in particular, the aspects related to priority programming and local programming, including news. |
|
The Commission notes that a number of documents were filed in confidence with the Commission. The applicant considers that these documents contain financial information, the disclosure of which could jeopardize Remstar Broadcasting's capacity to carry out the acquisition of TQS. |
|
Consequently, the Commission has granted temporary confidentiality for these documents until 22 May 2008, which is the date of the meeting of the creditors pursuant to the Quebec Superior Court Order rendered on 4 April 2008. |
|
Additional information will be placed on the public record as it becomes available. The Commission encourages interested parties to monitor the public record and the Commission's web site for additional information that they may find useful when preparing their comments. |

The applicant is also requesting new licences to continue the operation of the undertakings under the same terms and conditions as those in effect under the current licences. |

The CBC did not propose any tangible benefits package because it considers that the investments made to improve the transmission chain and to convert the transmitters to digital will fully exceed the amount required in accordance with the Commission's tangible benefits policy. |
|
The Commission notes that certain parts of the letter of intent were filed in confidence with the Commission. The applicant considers that these documents contain financial information, the disclosure of which could jeopardize Remstar Broadcasting's capacity to carry out the acquisition of TQS. |
|
Consequently, the Commission has granted temporary confidentiality for these documents until 22 May 2008, following which the Commission will make its final determination on confidentiality. The 22 May is the date of the meeting of the creditors pursuant to the Quebec Superior Court Order rendered on 4 April 2008. |
|
