Asian Zone Television Inc. - Acquisition of assets

  The Commission approves the application by Asian Zone Television Inc. to acquirefrom Golden Tunes Productions Inc. the assets of the national specialty television programming services Venus TV (Indian Pop Music), Venus TV (Punjabi Pakistani), and Venus TV (Sikh Culture and Religion).
 

The application

The Commission received an application by Asian Zone Television Inc. to acquire the assets of the three following national Category 2 specialty television programming undertakings from Golden Tunes Productions Inc. (the authorized licensee):

1. Venus TV (Indian Pop Music), approved in Broadcasting Decision 2006-475 (Decision 2006-475);

2. Venus TV (Punjabi Pakistani), approved in Broadcasting Decision 2006-476 (Decision 2006-476); and

3. Venus TV (Sikh Culture and Religion), approved in Broadcasting Decision 2006-477 (Decision 2006-477).

The applicant also requested new licences to operate these undertakings under the same terms and conditions as those set out in the above-noted decisions.

Asian Zone Television Inc. is wholly owned and controlled by Mr. Jagdev Singh Nijjar. The applicant confirmed that the broadcasting undertakings are not yet in operation.

The Commission did not receive any interventions in connection with this application.
 

Commission's analysis and determination

The Commission notes the specific circumstances surrounding the ownership of the authorized licensee since the issuance of Decisions 2006-475, 2006-476 and 2006-477. Originally, Golden Tunes Productions Inc. was jointly owned by Jagdev Singh Nijjar and Sumita Chatterjee. Given that Sumita Chatterjee is not in a position to fulfill her commitments, it was decided to transfer all of the assets to Asian Zone Television Inc.

Considering the nature of the proposed transaction, the Commission will not impose a requirement for the applicant to pay tangible benefits.

The Commission is satisfied that the transaction is in the public interest and that the integrity of its licensing process would not be compromised by its approval.

Accordingly, the Commission approves the application by Asian Zone Television Inc. to acquire the assets of the national Category 2 specialty television programming undertakings Venus TV (Indian Pop Music), Venus TV (Punjabi Pakistani), and Venus TV (Sikh Culture and Religion) and to obtain new broadcasting licences to operate these undertakings. The licences will expire 31 August 2013, the expiry date of the current licences, and will be subject to the same terms and conditions as those set out in the licensing decisions.

Considering that the undertakings are not yet in operation and that no licences have been issued for these undertakings, the Commission reminds the applicant that licences will only be issued once it has satisfied the Commission that the requirements set out in Decisions 2006-475, 2006-476 and 2006-477 have been met.
