  Application 2007-0864-6, received 4 June 2007
Public Hearing in the National Capital Region

Acquisition of assets - Corporate reorganization

1.

The Commission approves the application by RNC MEDIA Inc. (formerly known as Radio Nord Communications inc.) to acquire, from its wholly-owned subsidiary Radio Couleur Jazz inc., the assets of the French-language specialty FM radio programming undertaking CFLX-FM Montréal.

2.

The applicant also requested a broadcasting licence to continue the operation of CFLX-FM under the same terms and conditions of licence as those set out in the current licence.

3.

The Commission notes that the transaction approved herein represents a corporate reorganization that does not alter the ultimate control of CFLX-FM, which will continue to be controlled by Jean-Yves Gourd.

4.

The Commission did not receive any interventions in connection with this application.

5.

Upon surrender of the current licence issued to Radio Couleur Jazz inc., the Commission will issue a new broadcasting licence to RNC MEDIA Inc.

6.

The new licence will expire 31 August 2009, the current licence expiry date, and will be subject to the same terms and conditions as those in effect under the current licence, as stipulated in Commercial French-language specialty FM radio station in Montréal, Broadcasting Decision CRTC 2003-192, 2 July 2003.

Employment Equity

7.

In accordance with Implementation of an employment equity policy, Public Notice CRTC 1992-59, 1 September 1992, the Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
