Acquisitions of assets - Corporate reorganization

 

1.

The Commission approves the application by LOOK Communications Inc. (LOOK), on behalf of a wholly-owned subsidiary to be incorporated (Newco), to acquire the assets of the multipoint distribution system (MDS) radiocommunication distribution undertakings serving communities in southern Ontario, in Quebec, and in eastern Ontario from LOOK. The applicant also requested a new broadcasting licence to be issued to Newco, to continue the operation of the MDS undertakings, upon surrender of the current licence issued to LOOK.

The Commission notes that the proposed transaction will be implemented through a corporate reorganization that will not affect the effective control of the MDS undertakings, which will continue to be exercised by LOOK.

The Commission did not receive any interventions in connection with this application.

The licence will expire 31 August 2011, the current licence expiry date, and will be subject to the same terms and conditions as those in effect under the current licence.

5.

The Commission will issue a licence to LOOK Communications Inc., on behalf of a wholly-owned subsidiary to be incorporated, once:
  • the current licence has been surrendered to the Commission; and,
  • the applicant has satisfied the Commission, with supporting documentation, that a Canadian corporation has been incorporated in accordance with the application in all material respects.

Because the licensee is subject to the Employment Equity Act and files reports concerning employment equity with the Department of Human Resources and Skills Development, its employment equity practices are not examined by the Commission.
