Transfer of assets - Corporate reorganization

1.

The Commission approves the application by CTV Television Inc. (CTV Television), on behalf of a corporation to be incorporated, to effect a corporate reorganization that will result in the transfer of the assets of the English-language specialty programming undertaking Talk TV, to a wholly-owned subsidiary of CTV Television. The applicant also requested a broadcasting licence to operate the undertaking under the same terms and conditions as those in effect under the existing licence.

The Commission notes that the ultimate control of Talk TV will remain unchanged and will continue to be exercised by BCE Inc. through Bell Globemedia Inc.

The Commission did not receive any interventions in connection with this application.

The licence will expire 31 August 2010, the current licence expiry date, and will be subject to the same terms and conditions as those currently in effect.

The Commission will issue a broadcasting licence to CTV Television Inc., on behalf of a corporation to be incorporated, once:
 
  • the current licence has been surrendered to the Commission; and
 
  • the applicant has satisfied the Commission, with supporting documentation, that an eligible Canadian corporation has been incorporated in accordance with the application in all material respects.

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with theDepartment of Human Resources and Skills Development, its employment equity practices are not examined by the Commission.
