Transfer of assets - Corporate reorganization

1.

The Commission approves the application by CTV Television Inc. (CTV Television), on behalf of The Comedy Network Inc. (Comedy) to effect a corporate reorganization that will result in the transfer to CTV Television of the assets of the national English-language specialty programming undertaking known as The Comedy Network (TCN). The applicant also requested a broadcasting licence to operate the undertaking under the same terms and conditions as those in effect under the existing licence.

As a result of the corporate reorganization Comedy will be wound up into its parent company CTV Television.

The Commission notes that the transaction approved herein represents a corporate reorganization that does not alter the ultimate control of TCN, which will continue to be controlled by CTV Inc., the parent company of CTV Television.

The Commission did not receive any interventions in connection with this application.

5.

The Commission will issue a licence to CTV Television once the current licence issued to Comedy has been surrendered to the Commission.

6.

The licence will expire 31 August 2010, the same expiry date as that set out in The Comedy Network - Licence renewal, Broadcasting Decision CRTC 2004-6, 21 January 2004 and The Comedy Network - Erratum, Broadcasting Decision CRTC 2004-6-1, 27 February 2004, and will be subject to the same terms and conditions as those specified in that decision.
