Application by Persona Communications Inc. (Persona) formely known as Regional Cablesystems Inc. for authority to transfer all of its shares to Canadian Cable Acquisition Company Inc. (CCAC). | ||
CCAC is a corporation to be owned by CIBC Wood Gundy Capital (SFC #2) Inc. (CIBC), (33.5% voting shares), TD Capital Canadian Private Equity Partners Ltd.(TD) (33.5% voting shares) and Hicks, Muse, Tate & Furst Incorporated (HMTF) a Non-Canadian owned and controlled corporation (33% voting shares). | ||
The Commission notes that under the proposed terms and conditions of the acquisition, HMTF would be one of the significant shareholder, having the highest board representation of any single investor and would enjoy certain shareholder rights. The combination of these factors could confer HMTF with a significant influence over the business affairs of Persona that could amount to effective control. | ||
The Commission is consequently inviting comments on the particulars of this application, as well as on the potential effects that approval of this applications would have on the broadcasting industry as a whole. | ||
