Fine Living - Acquisition of assets

1.

The Commission approves the application by HGTV Canada Inc. (HGTV) to acquire the assets of the English-language Category 2 specialty programming undertaking Fine Living (previously known as The Luxe Network) from Alliance Atlantis Broadcasting Inc. (AABI)1. The applicant also requested a broadcasting licence to operate the undertaking under the same terms and conditions as those specified in the current licence.

This transaction will not result in any change in the effective control of the undertaking, which will remain under the ultimate control of Michael MacMillan and Seaton McLean.

The Commission did not receive any interventions in connection with this application.

The licence will expire 31 August 2007, the current licence expiry date, and will be subject to the same terms and conditions as those in effect under the existing licence.

5.

The Commission will issue the licence once the vendor has surrendered the current licence to the Commission.

6.

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with theDepartment of Human Resources and Skills Development, its employment equity practices are not examined by the Commission.

In The Luxe Network, Decision CRTC 2000-481, 24 November 2000 and 14 December 2000, the Commission approved the application by AABI, on behalf of a corporation to be incorporated, to operate the Category 2 specialty programming undertaking The Luxe Network. The company was incorporated under 3793974 Canada Inc. and amalgamated with AABI on 1 April 2003 to continue as AABI.
