Further to its Broadcasting Notice of Public Hearing CRTC 2003-2 dated 31 January 2003 relating to a Public Hearing which will be held on 8 April 2003 at 9:30 a.m., at the Congress Centre, 1000 René-Lévesque Boulevard East, Québec, Quebec, the Commission announces that it will also consider the following. Application by the CANADIAN BROADCASTING CORPORATION (CBC) for authority to acquire the assets of the Category 1 digital specialty service known as Country Canada.

 

3899071 Canada Inc. (3899071), the licensee of Country Canada, is currently a wholly owned subsidiary of the CBC. The transfer of assets results from the dissolution of 3899071.

 

The applicant is also requesting a licence to continue the operation of the undertaking upon surrender of the licence issued to 3899071.

 

The Commission will only proceed with this application at the public hearing if advised by the Department of Industry, at least ten days prior to the hearing, that it is technically acceptable.

Applications by CRAIG BROADCAST SYSTEMS INC. (Craig), on behalf of a corporation to be incorporated by way of amalgamation (New AlbertaCo)1, to acquire the assets of the television stations CKX-TV Brandon and its transmitters, and CHMI-TV Portage La Prairie.

 

The applicant is also requesting licences allowing New AlbertaCo to continue the operation of the undertakings, upon surrender of the current licences issued to Craig.

 

The Commission notes that these transfers of assets are part of an intra-corporate reorganisation proposed by Craig, aiming to have all of Craig's programming undertakings controlled by New AlbertaCo, and all of its wireless distribution undertakings (multipoint distribution systems) controlled by a new corporation known as Craig Wireless Systems Inc., while maintaining control of these undertakings under the Craig Family.

 

1 The proposed licensee corporation, New AlbertaCo, will result from the amalgamation of 4046358 Canada Ltd., a wholly owned subsidiary of Manalta Investment Company Ltd. (Manalta), which is the parent corporation of Craig, and Craig Broadcast Alberta Inc., a wholly owned subsidiary of Craig.
