Acquisition of assets

1.

The Commission received an application by Tri-Tel Communications Inc. (Tri-Tel) for authority to acquire from 1311831 Ontario Limited (1311831), the assets of the radio programming undertaking CKTT-FM Timmins, Ontario. Tri-Tel also requested a broadcasting licence to continue the operation of this undertaking as a tourist information service.

The Commission did not receive any interventions in connection with this application.

In New low-power tourist information service, Decision CRTC 2001-51, 9 February 2001, the Commission approved an application by 1311831 for a low-power tourist information service (CKTT-FM) to serve Timmins. Tri-Tel stated that 1311831 has now chosen to sell CKTT-FM, due to difficulties involving travelling between the Timmins station and 1311831's existing North Bay radio station.

The purchase price for the assets of CKTT-FM is $15,000. According to the applicant, this amount is less than the cost of the equipment included in the price, meaning that the current licensee will be suffering a financial loss in the transaction.

In cases where a change in ownership or control of an undertaking occurs within the undertaking's first term of licence, the Commission generally has a concern related to the integrity of its licensing process. Based on 1311831's rationale for selling the undertaking and the fact that it will not benefit from the sale of the undertaking, the Commission has no concern regarding the value of the transaction, and is satisfied that the sale does not, in this case, raise a concern with regard to the integrity of its licensing process.

The Commission therefore approves the application by Tri-Tel for authority to acquire the assets of the above-mentioned radio programming undertaking and for a broadcast licence to continue the operation of this undertaking.

The Commission will only issue the licence once 1311831 Ontario Limited has surrendered the current licence to the Commission.

The new licence will expire on 31 August 2007, the current expiry date, and will be subject to the conditions set out in the licence to be issued, as well as to the following conditions of licence:
 
  • The licensee must use the station solely for the purpose of broadcasting pre-recorded welcome messages, paid advertising, and general information relating to tourist sites and events in and around Timmins, except for a maximum of 10 hours per week of live broadcasting. Live segments shall not include conventional news or sports event coverage, but may include coverage of local parades, tournaments, fireworks displays and updates on motel occupancy, road conditions and gas prices.
 
  • The licensee must not broadcast more than six minutes per clock hour of advertising material.
 
  • The licensee must not broadcast any musical selection, except as incidental background music.
