Intracorporate reorganization of Bragg that results in a change in the effective control of Access Communications Incorporated, Halifax Cablevision Limited and Kings Kable Limited

The Commission received an application by Bragg Communications Incorporated (Bragg), on behalf of Access Communications Incorporated (Access), Halifax Cablevision Limited (Halifax) and Kings Kable Limited (Kings Kable), the licensees of various cable distribution undertakings serving localities in Nova Scotia, to effect a multi-step intracorporate reorganization within the Bragg group, for the purpose of simplifying its corporate structure.

The intracorporate reorganization involves the following transactions:
  • transfer to Bragg of the 75% voting interests in Access held by Delmar Keating Holding Limited (Delmar), through the wind-up of Delmar into Bragg;
  • transfer to K-Right Communications Limited (K-Right) of the 75% voting interests in Access held by Bragg;

  • transfer to K-Right of the voting interests in Halifax held by Bragg and E&O Cable Holdings Ltd. (E&O). As a result, K-Right's voting interests in Halifax increase from 20.65% to 55%;
  • transfer to Access of the 55% voting interests of K-Right in Halifax. As a result, Halifax becomes a wholly owned subsidiary of Access; and
  • transfer from Access to Halifax of all the shares of Kings Kable. As a result, Kings Kable becomes a wholly owned subsidiary of Halifax.

Further, the Commission notes that subsequent to the above-mentioned transactions, the following amalgamations have taken place:
  • Access Cable Television Bedford/Sackville Limited, E&O and K-Right to continue as K-Right Communications Limited. As a result, Access becomes a wholly owned subsidiary of K-Right; and
  • Kings Kable and Bay Communications Incorporated to continue as Bay Communications Incorporated.

The ultimate control of the licensees forming part of the Bragg group continues to be exercised by Mr. John L. Bragg.

The Commission notes that the above change of effective control has occurred without its prior approval. The Commission reminds the licensees that they must, at all times, conform to subsection 4(4) of the Broadcasting Distribution Regulations.

6.

The Commission approves the application to effect an intracorporate reorganization within the Bragg group.

7.

The Commission will modify its ownership records accordingly.
