Intracorporate reorganization

The Commission received an application by Aliant Telecom Inc. (Aliant Telecom) for authority to effect an intracorporate reorganization.
|

|
Aliant Telecom is the licensee of cable distribution undertakings serving Halifax, Nova Scotia and Saint John, New Brunswick.

The applicant stated that the intracorporate reorganization would be implemented through the transfer of 19,528,518 common shares (13.99%) of Aliant Inc. (Aliant) from BCE Inc. (BCE) to 3810208 Canada Inc. (3810208), a wholly-owned subsidiary of 3588378 Canada Inc. (3588378). Upon completion of this share transfer, 3588378 would continue to hold directly 39.1% of the common voting shares of Aliant. This transaction would also give 3588378, through 3810208, an indirect voting interest of 13.99% in Aliant.

This transaction would result in 3588378 holding direct and indirect effective control of Aliant.

The Commission notes that the proposed intracorporate reorganization would have no impact on the ultimate control of Aliant Telecom because ultimate control would remain with BCE.

The Commission approves the application by Aliant Telecom to effect an intracorporate reorganization of Aliant Telecom.
|
7.
|
The Commission will modify its ownership records accordingly.
