Voting trust agreement:
Submission of a voting trust arrangement for the shares of Entreprises Radio Etchemin Inc. owned by Astral Media Inc. and the designation of Mr. Paul-Émile Beaulne as trustee

In the context of its decision Transfer of control of 3903206 Canada Inc., Telemedia Radio Atlantic Inc. and 50% of Radiomedia Inc. to Astral Radio Inc., CRTC 2002-90, dated 19 April 2002 (decision 2002-90), the Commission approved the applications filed by Astral Media Inc. (Astral Media) seeking authority to acquire effective control of 3903206 Canada Inc., of Telemedia Radio Atlantic Inc. (Télémédia Atlantic), and of 50% of Radiomedia Inc. (Radiomedia), by acquiring all shares held directly or indirectly by Telemedia Radio Inc. (Telemedia) in these corporations. The decision is, however, conditional upon two conditions precedent as well as three conditions of approval. The first condition precedent requires notably the submission of a trust arrangement for the shares of Entreprises Radio Etchemin Inc., licensee of the radio station CFOM-FM, to the satisfaction of the Commission.

On 7 October 2002 Astral Media filed an application for authority to set up a trust arrangement. The Commission has examined the proposed voting trust arrangement and is satisfied with the terms

and conditions of the proposed trust arrangement. The Commission also accepts the designation of Mr. Beaulne as the trustee. The authorisation of the voting trust agreement is valid until 30 June 2003.

Decision 2002-90 also required the filing of an application deemed complete by the Commission for the acquisition, by a third party independent of Astral Media, of CFOM-FM. The Commission notes the submission of an application in this respect, dated 15 October 2002, which satisfies this requirement.

Finally, in order to fully meet the requirements of the first condition precedent, Astral Media still has to comply with the following requirement:

  • Submission of confirmation that the trust has been established, within 15 days of acceptance by the Commission of the trust agreement.

The Commission requires Astral Media to file an executed copy of the voting trust arrangement on or before 8 November 2002.

The Commission emphasizes that this authority is not to be interpreted in any way as an indication that the Commission is predisposed to authorise the subsequent change of ownership or control.

The applicant is reminded to attach a copy of this letter to its current licence, under Radio Etchemin.
