Corporate reorganization

1.

The Commission approves the applications by Télémédia Radio Inc. to undertake a corporate reorganization whereby a general partnership between Télémédia Radio Inc. (Télémedia), Télémédia Radio (Québec) Inc. and Télémédia (1998) Inc., as general partners, will be created to acquire the assets of 28 radio stations and their transmitters and one radio network, currently owned by Télémédia.

The Radio assets are located in Ontario and include CKOC, CKLH-FM and CHAM in Hamilton, CKSL, CJBK, CJBX-FM and CIQM-FM in London, CKAT, CKFX-FM and CHUR-FM in North Bay, CICX-FM Orillia, CHVR-FM in Pembroke, CHAS-FM, CJQM-FM and CIRS in Sault Ste. Marie, CKTB, CHTZ-FM and CHRE-FM in St. Catharines, CIGM, CJRQ-FM and CJMX-FM in Sudbury, CKGB, CKGB-FM, and CJQQ-FM in Timmins, CJCL and CJEZ-FM in Toronto. The corporate reorganization also includes two digital radio stations CJCL and CJEZ-FM Toronto and the radio network "Prime Time Sports".

The Commission did not receive any interventions in connection with these applications.

Upon surrender of the current licences, the Commission will issue licences to the general partners. Each new licence will expire on the expiry date of the current licence, as listed in the appendix to this decision. The licences will be subject to the terms and conditions in effect under the current licences.

The proposed corporate reorganization will not result in any change of control or ownership of the above stations. Commission notes that this corporate reorganization is a preliminary step to a transaction with Standard Radio Inc.
