Intracorporate reorganization

1.

The Commission approves the applications by Telemedia Radio Inc., on behalf of 3903206 Canada Inc. (TRI Quebec) to undertake an intracorporate reorganization whereby Telemedia Radio (Quebec) Inc. will transfer to its wholly-owned subsidiary TRI Quebec the assets of nine radio stations and their transmitters, two radio networks and one transitional digital radio station.

The undertakings affected by the reorganization are CFIX-FM Chicoutimi, CHLN Trois-Rivières, CHEY-FM Trois-Rivières, CHLT Sherbrooke, CIMF-FM Gatineau and its transmitter CIMF-FM-1 Hawkesbury (Ontario), CKTS Sherbrooke, CITF-FM Québec, CITÉ-FM Montréal, CITÉ-FM-1 and its transmitter CITÉ-FM-2 Sherbrooke; the radio networks « Radio Rock Détente Montréal » and CHLN/CKSM Trois-Rivières/Shawinigan, and the transitional digital radio station CITÉ-FM Montréal.

The Commission did not receive any interventions in connection with these applications.

Upon surrender of the current licences, the Commission will issue licences to TRI Quebec. Each new licence will expire on the expiry date of the current licence, as listed in the appendix to this decision. The licences will be subject to the terms and conditions in effect under the current licences.

5.

The proposed corporate reorganization will not result in any change of control or ownership of the above-mentioned undertakings.
