Interim management of licensee by a trustee in bankruptcy |

1. |
Mallette Maheu syndics et gestionnaires inc. (Mallette Maheu; the trustee) has filed with the Commission a copy of the bankruptcy notice filed in the Superior Court of Quebec with regard to 9078-2269 Québec inc., licensee of the cable distribution undertakings serving the municipalities of Bégin and Saint-Félix-d'Otis, in support of an application to obtain authorization for the interim management of the licensee's undertakings. |

The Commission authorizes Mallette Maheu, as trustee in bankruptcy, to continue to operate these undertakings until28 June 2002, under the same terms and conditions as those of the current licences. |

3. |
Mallette Maheu will have the exclusive responsibility for the operation of the undertakings during that period. Should the renewal of this authority become necessary, the trustee must submit a new application before 28 June 2002. |

4. |
If the trustee decides to assign management to a third party, it must file a management agreement for the Commission's approval. However, the trustee must continue to retain full responsibility for the undertakings for the duration of the agreement. |

5. |
Furthermore, any transaction that will result directly or indirectly in a change of ownership for 9078-2269 Québec inc. will require an application for the Commission's approval. |
