Intracorporate reorganization of CHEZ-FM Inc., Rogers (Toronto) Ltd. and Rogers Radio (British Columbia) Ltd.

The Commission received an application by Rogers Media Inc. (Rogers Media), on behalf of CHEZ-FM Inc. (CHEZ), Rogers (Toronto) Ltd. (Rogers Toronto) and Rogers Radio (British Columbia) Ltd. (Rogers BC), to effect an intracorporate reorganization within the Rogers group of corporations.

CHEZ is the licensee of CHEZ-FM Ottawa, CIOX-FM Smiths Falls and CJET-FM Smiths Falls. Rogers Toronto is the licensee of CISS-FM Toronto and of a transitional digital radio undertaking (DRU). Rogers BC is the licensee of CFSR-FM Abbotsford, CKSR-FM Chilliwack, CKVX-FM Chilliwack, CKGO-FM Hope and of a transitional DRU. CHEZ, Rogers Toronto and Rogers BC are all wholly owned subsidiaries of Rogers Broadcasting Limited (RBL), which in turn is wholly owned by Rogers Media.

The proposed intracorporate reorganization would be implemented through the following multi-step transaction:

  • transfer of all the issued and outstanding shares of CHEZ, Rogers Toronto and Rogers BC to 652298 B.C. LTD. (HoldCo);
  • amalgamation of HoldCo with Rogers Media, which will continue under the name Rogers Media; and
  • amalgamation of CHEZ, Rogers Toronto, Rogers BC and two unregulated corporations with RBL, which will continue under the name RBL.

As a result of this multi-step transaction, the broadcasting undertakings currently licensed to CHEZ, Rogers Toronto and Rogers BC will be owned and controlled by RBL.

The Commission approves the application to effect an intracorporate reorganization of CHEZ, Rogers Toronto and Rogers BC.

6.

The Commission will modify its ownership records upon the receipt of a confirmation that this transaction has been completed and the filing of executed and signed documents associated with the transaction (i.e., amalgamation agreements, certificates of amalgamation and articles of continuance).
