Intracorporate reorganization of Harvard Broadcasting Inc. |

1. |
The Commission received an application by Harvard Broadcasting Inc. (Harvard) to effect an intracorporate reorganization. |
|
2. |
Harvard is the licensee of the radio programming undertakings CKRM, CFWF-FM and CHMX-FM Regina, Saskatchewan, and the radio network Roughriders. |
|

The proposed transaction would be implemented through the insertion of a new holding company, The Gabriel Holding Corp. (Gabriel Holding), into the existing corporate structure, between Famhill Holdings Limited (Famhill Holdings) and Famhill Investments Limited (Famhill Investments). As a result of this transaction, Famhill Holdings will own 100% of the Class E voting shares and the Class D non-voting shares, and the Paul Hill Family Trust will own 100% of the Class B non-voting participating shares in Gabriel Holding. |

This transaction does not change the control of Harvard, which remains with Frederick W. Hill, through the holding companies Harvard Developments Inc., Famhill Holdings and Famhill Investments. |

The Commission approves the application to effect an intracorporate reorganization of Harvard. |

6. |
The Commission will modify its ownership records accordingly. |
