Intracorporate reorganization of Quebecor Media Inc.

1.

The Commission received an application by Quebecor Media Inc. (Quebecor Media), on behalf of Vidéotron ltée (Vidéotron) and TVA Group Inc. (TVA), to effect an intracorporate reorganization of Vidéotron, a wholly-owned subsidiary of Le Groupe Vidéotron ltée (GVL), and TVA.

Vidéotron is the licensee of twelve cable distribution undertakings that serve communities in Quebec.

TVA is controlled by GVL with 99.9% of the voting interests. TVA is the licensee of six television stations that serve communities in Quebec, as well as of the TVA television network and the specialized analog service Le Canal Nouvelles (LCN). The Commission notes that TVA is also a partner in two digital Category 1 specialty services known as Men TV, General Partnership and Mystery, General Partnership.

The proposed transaction involves the liquidation of GVL into Quebecor Media. As a result of this transaction, the effective control of Vidéotron and TVA will rest with Quebecor Media. This transaction does not change the ultimate control of these companies, which will continue to be exercised by Les Placements Péladeau inc.

The Commission approves the application to effect an intracorporate reorganization of Vidéotron and TVA.

6.

The Commission will modify its ownership records accordingly.
