Intracorporate reorganization of Corus VC Ltd. |

1. |
The Commission received an application by Shaw Communications Inc. (SCI) to effect an intracorporate reorganization within Corus VC Ltd. (Corus VC), a wholly-owned subsidiary of SCI. |
|
2. |
Corus VC is the licensee of Home Theatre, a pay-per-view (PPV) service, and of a direct to home PPV service. |
|
3. |
The proposed PPV transaction involves a transfer of all of the issued and outstanding shares of Corus VC from 616554 B.C. Ltd. to 900989 Alberta Ltd., a new wholly-owned subsidiary of SCI. |
|
4. |
As a result of this transaction, the effective control of Corus VC will reside with 900989 Alberta Ltd., a company controlled by Mr. J.R. Shaw. |
|
5. |
The Commission approves the application to effect an intracorporate reorganization of Corus VC. |
|
6. |
The Commission will modify its ownership records to reflect the attached appendix. |
