The Commission approves the applications by Consortium Câble-Axion Digitel inc. (consortium Câble-Axion), for Câble-Axion Québec inc. (Câble-Axion Québec) and Câble-Axion Digitel Inc. (Câble-Axion Digitel), (collectively the licensees), for authority to amend the indirect control of the licensees, as a result of the acquisition by TELUS Corporation of the control of TELUS Québec inc. (TELUS Québec). |

The licensees operate broadcasting distribution undertakings in various locations in Quebec. |

Consortium Câble-Axion directly controls Câble-Axion Québec and Câble-Axion Digitel with its 80% and 89.16% voting interest, respectively. TELUS Québec directly controls the remaining voting interest of the licensees, namely 20% in Câble-Axion Québec and 10.84% in Câble-Axion Digitel. TELUS Québec also holds a 33.33% voting interest in Consortium Câble-Axion. Through all of these holdings, TELUS Québec directly and indirectly controls 46.7% of the voting interest of Câble-Axion Québec and 40.6% of the voting interest of Câble-Axion Digitel. |

As a result of a change in the ownership structure of TELUS Québec, whereby TELUS Corporation has acquired all of the voting shares in TELUS Québec, TELUS Corporation now has an indirect control of 46.7% voting interest in Câble-Axion Québec and of 40.6% voting interest in Câble-Axion Digitel. |

The transaction does not change the effective control of the licensees as it continues to be exercised by Consortium Câble-Axion. |

The Commission notes that the licensees have proceeded with the transaction prior to obtaining its approval. The licensees are reminded that they must abide by section 4 of the Broadcasting Distribution Regulations, at all times. |
