Broadcasting Decision CRTC 2002-102

Ottawa, 22 April 2002

3098-9289 Québec inc.
Maniwaki, Quebec

Application 2002-0165-8

Transfer of effective control

The Commission approves the above-noted application to transfer the effective control of 3098-9289 Québec inc., licensee of the radio programming undertaking CFOR-FM Maniwaki. The transaction will be implemented through the transfer of 100% of the issued and outstanding shares of the corporation. The shares are currently held by the following individuals:

Mr. Georges Lafontaine 33.34%;

Mr. Pascal Chaussé 33.33%; and

Mrs. Denise Carrière 33.33%

As a result of the transaction the shares will be held equally by Mr. André Gauthier and Mr. Rock Lépine, who will become the sole shareholders of 3098-9289 Québec inc. and jointly hold effective control of the licensee company.

This approval will only come into effect once an amended purchase agreement, duly signed and executed, demonstrating the new equally shared ownership of the licensee company, has been filed with the Commission.

Following receipt of the purchase agreement, the Commission will amend its records to reflect the authorized ownership of 3098-9289 Québec inc., as shown in the attached appendix.

The Commission notes the new shareholders' intent to amend the licensee's company name and to submit, following the proposed transaction, and when it becomes available, the Certificate of amendment attesting to the new name.
