The Commission will hold a public hearing commencing on 3 February 2003 at 9:30 a.m., at the Palais des Congrès de Montréal, 201 Viger Avenue West, Montréal, Quebec, to consider the following. The intervention deadline is 9 January 2003. |

INTRODUCTION |
|||
On January 17, 2002, the Commission issued Broadcasting Public Notices CRTC 2002-2, CRTC 2002-3, CRTC 2002-4 and CRTC 2002-5 calling for applications for broadcasting licences to carry on a radio programming undertaking to serve Montréal, Saguenay (formerly Chicoutimi/ Jonquière), Sherbrooke and Trois-Rivières. Interested parties had until April 18 to submit applications to the Commission. |

Further to these calls for applications, the Commission received a significant number of applications for licences to serve the aforementioned markets. It should be noted that this notice of public hearing groups the applications by market. In order to use its time more efficiently at the hearing, the Commission may decide to hear the applications by order of corporate group rather than by markets. |
|||
In addition to applications received in response to the calls for applications, the Commission will consider applications submitted by Astral Media Inc. to amend certain licences for radio stations operating in Quebec. The Commission will also consider the transaction proposed by TVA Group Inc. and Radio Nord Communications inc. involving the acquisition of certain broadcasting properties belonging to Astral Media Inc. |

Items 2, 4 and 11 are technically mutually exclusive as they propose the use of the frequency 106.3 MHz (for items 2 and 4) and 106.5 MHz (for item 11). |

Items 3 and 7 are technically mutually exclusive as they both propose the use of the frequency 91.9 MHz. |

Items 1, 5 and 9 are technically mutually exclusive as they all propose the use of the frequency 100.1 MHz. |

The approval was subject to two conditions precedent, the first requiring the filing of a complete application for the sale of Entreprises Radio Etchemin inc. (Radio Etchemin), licensee of CFOM-FM, or its assets to a third party not associated with Astral Media. This condition also required Astral Media to place Radio Etchemin in trust. The second condition precedent required the submission of applications to add specific conditions of licence affecting all of the Quebec radio stations acquired by Astral Media pursuant to the Decision. |

The Decision also contained three conditions of approval, including the requirement that Astral Media confirm in writing within 60 days of the Decision, that the amount of $1,675,000 would be paid to Fonds RadioStar, to MusicAction or other existing eligible Funds (the Development Fund Condition). |

Astral Media suggests that the amount to be paid to the Fonds RadioStar should be less than the amount of $1,675,000 required by the Development Fund Condition, since the value of the transaction was modified in the Purchase Agreement dated 30 August 2002 and submitted to the Commission by Astral Media on 11 October 2002. |

By letter dated 28 October 2002, the Commission indicated that the Development Fund Condition had been met. However, the Commission also indicated that it would nevertheless review with Astral Media at this hearing the issue of the exact amount to be paid to the Fonds RadioStar. |

Further, the Commission noted in its 28 October 2002 letter that the valuation of the transaction, and the related tangible benefits, would also be reviewed at the hearing. |

Background |
|||
The Commission notes that the AM applications arise from a Consent Agreement (the Consent Agreement) between Telemedia, Astral Media and the Commissioner of Competition (the Commissioner). The Commission notes that the Commissioner was opposed to the transaction, as approved in the Decision. On December 21, 2001, the Commissioner filed an application with the Competition Tribunal to oppose the transaction under the merger provisions of the Competition Act. On September 3, 2002, the Consent Agreement was registered with the Competition Tribunal, thereby terminating the Commissioner's application. |

According to the terms of the Consent Agreement, Astral Media is required to sell, as a network, some of its French-language AM radio assets in the province of Quebec viz.: CKRS; CJRC; CHLN; CHLT; CKAC and CHRC. The terms of the Consent Agreement do not include radio stations CKSM and CKTS. |
|||
The applicant is requesting that new licences be issued to TVA-RNC(OBCI) under the same terms and conditions as the existing licences or as modified by the aforementioned applications described in Part II. |
|||
TVA, an integrated communications company, is the largest private broadcasting group in Quebec's conventional television sector. It owns six of the ten stations in the TVA network serving the Montréal, Québec, Rimouski, Sherbrooke, Trois-Rivières and Saguenay markets. |
|||
TVA is also the licensee of an analog specialty service, Le Canal Nouvelles (LCN), and holds interests in another analog specialty service, Canal Évasion, and in a pay-per-view service, Canal Indigo. TVA also holds interests in Category 1 and Category 2 French-language and English-language digital services recently or about to be launched, including LCN Affaires. |

Finally, the majority shareholder of TVA, Quebecor Media Inc. (QMI), owns newspapers and magazines in Quebec, including such daily newspapers as Le Journal de Montréal and Le Journal de Québec, and magazines such as Le Lundi, 7 Jours and Dernière Heure. QMI, through an affiliate, also controls Vidéotron ltée, Quebec's main cable company. |
|||
RNC is controlled by the Gourd family. RNC operates five conventional television stations affiliated with various networks, and five FM radio stations (including a new station in Gatineau), mainly serving the Abitibi-Témiscaming and Outaouais markets. RNC also operates a production company in the Gatineau-Ottawa region. |
|||
The applicant has assigned a value of $12,750,000 for all assets covered under the current applications. |
|||
The value of the transaction is divided into two parts, $4,750,000 for the radio station CFOM-FM and $8,000,000 for the AM stations, including the two digital stations and three networks. |
|||
TVA-RNC (OBCI) is proposing tangible benefits of 6% for CFOM-FM only, for a total of $285,000. Those benefits would be allocated over seven years, paid as follows: |

TVA-RNC (OBCI) also agrees to be responsible for unfulfilled tangible benefits arising from the transfer of CFOM-FM to Astral Media (Decision CRTC 2001-95). Astral Media committed to paying $540,000 spread over five years and distributed as follows: 3% to Fonds RadioStar, 2% to MusicAction and 1% to two local organizations: the Fondation du Cegep Lévis-Lauzon and the Festival d'été de Québec. |

The applicant did not propose any tangible benefits for the AM stations, which have been unprofitable for the last three years. |

Elements to consider |

The Commission may discuss the following issues with the applicant at the public hearing: |

The Commission may examine the implications of the increase in media concentration and cross-ownership that approval of the present applications would bring to the Quebec market. |

The Commission may also examine the potential impact of the transaction on diversity of programming sources, particularly for news and information, given the importance of healthy competition in this sector. |

The Commission may consider imposing specific conditions of licence, conditions precedent, or the divestiture of some undertakings, to address any concerns in relation to these issues, if these applications were to be approved in whole or in part. |

The Commission may examine the extent to which the proposed service will contribute to the attainment of the objectives of the Broadcasting Act, particularly to local and regional programming, and how the applicant intends to promote the development of Canadian talent, notably local and regional talent. |

The Commission may review the valuation of the transaction put forward by the applicant. |

The Commission may examine the appropriateness of the level and nature of the tangible benefits proposed by the applicant. |

The Commission notes that the current application is to replace the service offered by radio station CKVM Ville-Marie for the past 52 years. Because of technical difficulties, CKVM's broadcasting certificate can not be renewed and CKVM's is therefore rendered invalid. The applicant is now submitting the current application to rectify the situation. |
