Re:  Application No. 2001-1410-9 - Approved

Intra-corporate reorganization resulting in the transfer of the television programming undertaking CFCF-TV Montreal to CTV Television Inc.

The Commission has completed its examination of the above-noted application from Bell Globemedia Inc., on behalf of CTV Television Inc. (CTV Television), for authority to effect an intra-corporate reorganization.

The intra-corporate reorganization consists of transferring all of the issued and outstanding shares of CF Television Inc. (CF Television), held by CTV Inc. (CTV), to CTV Television. CF Television is the licensee of CFCF-TV, a Montreal television programming undertaking. Following this transfer, CTV Television will amalgamate with CF Television, MOF 1 and MOF 2, to form a new entity known as CTV Television Inc. (the new CTV Television). Consequently, the new CTV Television will become the licence holder of CFCF-TV.

The Commission approves the proposed intra-corporate reorganization which includes the transfer of CTV's interest in CF Television to CTV Television.

Our records will be modified accordingly. All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
